Job Responsibilities

USD PE Investment & Transaction Legal Duties

1.End-to-End Transaction Leadership:​ Act as the primary legal lead for USD fund transactions, including direct investments, co-investments, and secondary transactions. Provide full-lifecycle legal support from initial engagement, due diligence, transaction document negotiation, closing, through to post-investment management.

2.Legal Structuring & Documentation:​ Design and implement legal structures for cross-border investments (including SPV establishment, offshore structuring, and restructuring). Draft, review, and negotiate English-language transaction documents such as Term Sheets, Share Purchase Agreements, Shareholders’ Agreements, and Articles of Association.

3.Due Diligence:​ Lead and coordinate external counsel in conducting comprehensive legal due diligence on target companies. Identify core legal, regulatory, and compliance risks, produce due diligence reports, and provide practical solutions and negotiation strategies.

4.Risk Management & Compliance:​ Ensure all investment transactions comply with laws and regulations in China and relevant jurisdictions (e.g., Cayman Islands, BVI, U.S., Hong Kong), including foreign investment, foreign exchange controls, and industry-specific regulations.

5.Post-Investment Legal Management:​ Oversee legal matters of portfolio companies, including reviewing material commercial contracts, handling corporate governance issues, and monitoring the execution of exit agreements.

In-House Legal & Compliance Duties

6.Corporate Operations Support:​ Review, draft, and negotiate various English and Chinese contracts for daily operations, including fund formation documents (LPA), service provider agreements, NDAs, office leases, procurement contracts, and employment agreements.

7.Corporate Governance & Compliance:​ Provide legal support to the Board of Directors and shareholders’ meetings, ensuring compliance with regulatory requirements. Establish and maintain the company’s internal compliance framework, policies, and contract management system.

8.IP & Risk Management:​ Manage the company’s intellectual property (e.g., trademarks, brand). Handle daily legal inquiries, disputes, litigation, and arbitration.

9.Regulatory Monitoring & Reporting:​ Monitor and interpret laws and regulations relevant to asset management and private equity investments. Provide early warnings and training to business teams. Assist with necessary regulatory filings and legal documentation.

Qualifications

10.Education & Bar Admission:​ Bachelor’s degree or higher in Law from a reputable university. Must have passed the Chinese Bar Exam. Possession of an overseas legal qualification (e.g., New York Bar, Hong Kong Solicitor) is highly preferred.

11.Experience:​ 3–5 years of relevant legal experience, including at least 3 years of hands-on experience leading USD PE/VC investment transactions​ at a top-tier law firm (PE/M&A team) or as in-house counsel at a leading USD fund/asset manager/investment company. Must have full-cycle (“raise, invest, manage, exit”) deal experience.

12.Technical Knowledge (Preferred):​ Familiarity with Cayman Islands and BVI fund formation, investment structures, corporate governance, and cross-border investment frameworks is a strong plus.

13.Professional Skills:​ Deep expertise in PE investment documentation and excellent negotiation skills. Strong independent legal research, risk identification, analytical, and problem-solving abilities. Ability to manage external counsel effectively and control legal costs.

14.Language & Competencies:​ Full professional proficiency in both English and Chinese, with the ability to draft and negotiate complex English legal documents. Must demonstrate a strong sense of responsibility, commercial acumen, teamwork, and the ability to manage multiple tasks under pressure.
