Job Responsibilities
- Draft, review, negotiate, and administer commercial contracts, including lease agreements, service agreements, logistics agreements, warehousing agreements, and other business contracts.
- Provide legal advice and support to management and internal stakeholders on contractual, operational, and corporate legal matters.
- Handle Corporate Secretary matters, including General Meetings of Shareholders (RUPS) and other corporate governance activities.
- Manage and ensure compliance with OSS BKPM requirements, including NIB maintenance, Standard Certificates, business licensing, and LKPM reporting.
- Coordinate and maintain effective relationships with government institutions, including BKPM, the Ministry of Transportation (Sea Transportation and Land Transportation), and other relevant authorities.
- Prepare and maintain corporate legal documents, including powers of attorney, board resolutions, shareholder resolutions, declarations, NDAs, integrity pacts, and other corporate documents.
- Monitor the validity and renewal of company licenses, permits, and legal documents to ensure compliance with applicable regulations.
- Support legal due diligence, legal research, dispute handling, and other legal projects as assigned.
- Maintain an organized, systematic, and accurate legal filing and document management system.
- Coordinate with external legal counsel, notaries, government agencies, business partners, and other external stakeholders.
- Perform other legal duties and responsibilities assigned by management.
Requirements
- Bachelor’s Degree in Law (S.H.).
- Minimum 5 years of experience in Corporate Legal, Commercial Legal, or Legal Compliance, with at least 2 years in a supervisory position.
- Experienced in drafting, reviewing, and negotiating commercial contracts.
- Experienced in handling Corporate Secretary matters, OSS BKPM licensing, NIB, Standard Certificates, and LKPM reporting.
- Experienced in coordinating with BKPM, Ministry of Transportation (Sea Transportation and Land Transportation), and other government institutions.
- Strong understanding of Indonesian Company Law, contract law, and corporate governance.
- Excellent negotiation, analytical, and problem-solving skills.
- Highly structured, systematic, detail-oriented, and able to manage multiple tasks effectively.
- Strong communication, interpersonal, and stakeholder management skills.
- Proficient in Microsoft Office applications.
- Certified Contract Drafter (CCD) or equivalent certification will be considered an advantage.
