Job Description
- Provide legal advice and support to management in relation to the company's operational, commercial, investment, and business development activities.
- Draft, review, and negotiate a wide range of legal documents, including commercial agreements, investment documents, and corporate legal documents to support the company's business operations.
- Handle and oversee corporate transactions, including mergers and acquisitions (M&A), investments, joint ventures, corporate restructurings, and other corporate actions.
- Conduct legal due diligence, identify legal risks, and develop risk mitigation recommendations to support business decision-making processes.
- Ensure compliance with applicable laws and regulations, including the management of business licenses, permits, and regulatory implementation across assigned business units.
- Coordinate with notaries, external legal counsel, regulators, government authorities, and other relevant stakeholders to support the company's legal requirements.
- Represent the company in meetings, negotiations, and communications with external parties as assigned.
- Prepare legal memoranda, legal opinions, legal reports, and other supporting documents for management and strategic decision-making purposes.
- Lead, supervise, and monitor the performance of legal team members under their coordination to ensure effective and high-quality work execution.
Job Requirements
- Bachelor's Degree in Law from a reputable university.
- Minimum 3–4 years of experience in a law firm or corporate group environment, with exposure to corporate legal, commercial legal, and legal compliance matters. Experience in the mining industry will be an advantage.
- Strong understanding of Corporate law and corporate governance, Business licensing and operational permits, Contract law and commercial transactions, Mergers and Acquisitions. (M&A), investments, joint ventures, and corporate restructuring.
- Proven ability to draft, review, and negotiate legal documents, conduct legal due diligence, identify legal risks, and provide risk mitigation recommendations in corporate transactions.
- Strong communication and stakeholder management skills, with the ability to effectively coordinate with regulators, government authorities, notaries, consultants, investors, strategic partners, and other external parties.
- Good command of English, both written and spoken, particularly for business correspondence, legal drafting, and document review.
- Willing to travel for business purposes as required.
