Contract Analyst

Supervisor: Contracts Manager

Classification: Full-time, exempt

The Contract Analyst plays a critical role in managing the full contract lifecycle, ensuring contracts align with company objectives while mitigating financial and legal risks. This role involves contract intake, review, redlining, negotiation, execution, compliance tracking, and closeout. The Contract Analyst collaborates with internal and external stakeholders to ensure clarity, accuracy, and enforceability of contract terms, while also maintaining organized records and implementing best practices for contract management. You must currently reside in San Diego County.

PRIMARY RESPONSIBILITIES & DUTIES

Contract Lifecycle Management (Approximately 50% of time spent on these duties)

Manage the full contract lifecycle, including intake, review, redlining, negotiation, execution, compliance tracking, and closeout.
Lead the contract intake process by reviewing submitted agreements, assessing risks, and determining necessary modifications before execution.
Draft, review, redline, and negotiate various types of agreements, including Design-Build subcontracts, Design Consulting Agreements, Purchase Orders (POs), NDAs, Service Agreements, and Amendments.
Negotiate contract terms with counterparties, working closely with internal stakeholders such as Pre-Construction, Finance, Estimating, and Operations to align terms with business objectives.
Ensure contract terms align with company policies, financial goals, and risk tolerance while mitigating exposure in key areas such as indemnification, liquidated damages, consequential damages, and excusable delays.
Conduct risk analysis of contract provisions, summarizing potential impacts, alternative language, and relevant legal considerations for project teams.
Compare, track changes, and merge contract documents in Word, ensuring version control and accurate documentation of negotiations.

Stakeholder & Communication Management (Approximately 25% of time spent on these duties)

Act as the primary point of contact for contract-related communications, responding to inquiries, clarifying obligations, and providing guidance on contract terms.
Facilitate internal contract approval workflows, ensuring timely review and execution by necessary stakeholders.
Monitor contractual obligations, ensuring key milestones, deliverables, and deadlines are met throughout the project lifecycle.
Support internal teams, including Estimating, Project Management, Pre-Construction, and Operations, by communicating contract requirements and best practices.
Collaborate with external parties, including vendors, subcontractors, and clients, to resolve contract-related issues.
Lead cross-functional meetings related to contract negotiations, facilitating discussions between internal teams and external stakeholders.

Document Management (Approximately 15% of time spent on these duties)

Support contract close-out by ensuring all contractual obligations are met and necessary documentation is finalized.

Maintain contract records, including tracking status, amendments, renewals, and terminations, within contract management systems.

Process Improvement & Team Development (Approximately 10% of time spent on these duties)

Develop and maintain standardized contract templates, playbooks, and negotiation guidelines to improve efficiency and consistency.
Provide mentorship and guidance to junior contract professionals, assisting with contract review and negotiation strategies.
Stay current with state and federal contract laws, implementing necessary updates to contract policies and procedures.
Identify and implement process improvements within the contract management function to enhance efficiency and accuracy.

REQUIRED SKILLS & ABILITIES:

Minimum of 3 years of experience in contract review, redlining, and negotiation (4+ years preferred).
Strong understanding of contract principles, risk assessment, and key contractual provisions (e.g., indemnification, damages, liability, and compliance).
Experience working in a role with fluctuating daily responsibilities and the ability to manage multiple contracts simultaneously.
Excellent written and verbal communication skills, with the ability to clearly articulate contract issues and negotiate effectively via email, Slack, and other communication tools.
Proficiency in Microsoft Office Suite, including Outlook, Word (with tracked changes), and Excel.
Experience with contract management and collaboration tools, such as Adobe Acrobat, Google Drive, and Ironclad (preferred but not required).
Exceptional time-management and organizational skills, with the ability to handle multiple contracts and deadlines.
Detail-oriented mindset, with a strong commitment to accuracy in reviewing, redlining, and maintaining contract records.
Ability to work independently and take initiative in contract negotiations while collaborating effectively with internal teams.
Demonstrated integrity, tenacity, and a proactive approach to problem-solving in contract-related matters.
Ability to work remotely or on-site in San Diego, with a high level of responsiveness and professionalism in a virtual work environment.

Preferred but not required:

Background as a paralegal or JD.
Experience with Ironclad Contract Management System.
Experience with Salesforce.
Experience with Scoop Project Management Software.
Familiarity with the construction and/or solar construction industry is preferred but not required.

The starting annual base pay for this role is between USD $75K – $110K. The actual base is dependent upon many factors, such as: location, training, transferable skills, work experience, business needs and market demands. The base pay range is subject to change and may be modified in the future.
