Counsel
Position Summary
Counsel for Bracco Diagnostics Inc. (BDI) performs a variety of general corporate legal functions on behalf of BDI and related Bracco affiliates in North America. The position requires a business-oriented attorney with proven legal expertise, capable of operating independently and collaboratively across a fast-paced, global organization. Responsibilities include legal work related to contracts, transactions, regulatory compliance, marketing materials review, employment/labor law issues, corporate governance, and litigation management. The Counsel will work closely with business leaders and legal colleagues to ensure that legal issues are managed in alignment with corporate and business objectives.
Essential Duties and Responsibilities
Provide legal counsel to all business units on contractual matters, transactional issues, compliance implications, employment law, and general corporate governance.
Negotiate and draft a broad range of agreements, including purchase/sales, marketing, clinical trial, research, consulting, confidentiality, manufacturing & supply, services, licensing, leases, GPO and distribution agreements.
Proactively identify and address key legal risks and opportunities in collaboration with the Head of Legal Affairs, other in-house attorneys, outside counsel, and international legal colleagues.
Review and advise on advertising and promotional materials for both drug products and medical devices to ensure compliance with FDA regulations, FTC regulations, and other applicable trade laws, while mitigating litigation risks.
Respond to internal and third-party legal inquiries and competitive challenges, and draft correspondence as needed.
Support the Human Resources department on employment law matters, workplace issues, procedures, internal investigations and legal disputes.
Assist in the development and delivery of training programs related to legal matters across the organization.
Monitor legal developments to ensure ongoing alignment with laws, regulations, and corporate policies.
Provide strategic legal oversight and manage outside counsel in litigation, including product liability, employment, and commercial matters.
Collaborate with internal departments, including, but not limited to, sales/marketing, medical and regulatory affairs, and operations to assess and mitigate legal risks proactively.
Provide legal support for medical affairs activities, including scientific exchange, clinical studies, investigator-initiated studies, and compliance with relevant regulations.
Supervisory Responsibilities
Supervise and manage the work of paralegals, legal administrative staff, and legal interns as needed.
Oversee and evaluate the performance of outside counsel to ensure cost-effective and timely legal services.
Share responsibility for team leadership, fostering collaboration, and providing guidance to legal and cross-functional teams within BDI and related Bracco affiliates in North America.

Education and Experience
J.D. degree from an accredited U.S. law school.
B.A. or B.S. from an accredited college or university.
Minimum of 10 years of legal experience in a law firm and/or in-house counsel role, preferably within the healthcare, pharmaceutical, or medical device sectors.
Admission to the Bar of at least one U.S. jurisdiction, in good standing.
Familiarity with pharmaceutical, medical device, and/or healthcare industry regulations, including FDA law, FTC rules, FCPA, fraud and abuse laws, HIPAA.
Excellent client relationship, oral and written communication skills.
Strong legal knowledge and hands-on experience in:
Contract drafting and negotiation
Commercial and corporate law
FDA regulatory law and advertising/promotional compliance for pharmaceutical and medical device products
Sales and marketing, including interactions with healthcare professionals
Litigation, regulatory enforcement actions and risk management
Anticipate how developments in the law will affect business issues.
Assist in formulating legal strategies in support of business opportunities that help create competitive advantages.
Strong business judgment and ability to balance legal risk with commercial goals.
Ability to work independently while building strong internal relationships across various functions (sales/marketing, finance, medical, regulatory and operations).

Work Environment and Physical Demands
Home office-based position with hybrid schedule for in-person work in Princeton, NJ.
Limited domestic and international travel required.
