Contracts Counsel – Boston, MA

We are currently seeking candidates for a Contracts Counsel opportunity with a highly successful and collaborative organization located in Boston, MA. The Contracts Counsel will draft, review, revise, and negotiate general and complex corporate agreements for the organization. This role will focus on drafting, reviewing, revising, and negotiating a wide range of commercial and corporate agreements. The Contracts Counsel will handle various contract types, including but not limited to NDAs, SaaS agreements, subscription and engagement letters, consulting and insurance agreements, and data protection contracts. The ideal candidate will have 5-8+ years of related post JD experience.

This is a 3+ month contract-to-hire position, paying between $100-$120/hour (depending on experience). This position is required to be onsite, 2 days/week in their Boston office.

Responsibilities:

Draft, review, and negotiate a wide range of agreements including, but not limited to, vendor services contracts, NDAs, SaaS agreements, subscriptions, engagement letters, consulting agreements, insurance agreements, and data protection agreements.

Collaborate with internal stakeholders—such as Procurement, IT, HR, Claims, Underwriting, and Compliance—to ensure contracts reflect business priorities and manage legal risk appropriately.

Translate complex legal concepts into actionable, business-friendly advice and assist teams in understanding contract terms and obligations.

Identify and address key legal and commercial issues including indemnification, limitation of liability, termination rights, and data security provisions.

Maintain strong understanding of risk tolerance of functions throughout the firm.

Help maintain and refine contract templates, negotiation playbooks, and legal review workflows to promote consistency and efficiency.

Monitor relevant regulatory and legal developments, incorporating changes into contract language and internal practices as needed.

Support continuous improvement efforts in contract processes, systems (e.g., CLM), and cross-functional collaboration.

Qualifications:

J.D. from an accredited law school, and admission to the Massachusetts Bar. Must be in good standing.

5–8+ years of post-J.D. legal experience with a strong focus on commercial contracting.

Proficiency in drafting, reviewing, and negotiating a variety of contracts, including, but not limited to, vendor agreements, data privacy, service contracts, software licenses, NDAs, and consulting arrangements.

Strong communication skills, with the ability to explain legal concepts clearly to non-legal stakeholders.

Experience collaborating with cross-functional teams, including Procurement, IT, HR, and Compliance.

Excellent drafting and negotiation skills, with a keen attention to detail.

Ability to manage multiple priorities, work independently, and exercise sound judgment in a fast-paced environment.
