What Will you be counted on :
You will need to review active / potential M&A deal Documents and understand and give opinion on risks to the transaction. You will be provided adequate hand holding on Insurance Coverage of risks you identify in the document. You should have client handling capability and an ability to manage stakeholder.
You will be working in the Pvt Equity, Meragers & Acquisition risk consulting team oof a large US MNC and will have good WBL while doing high value job.
Responsible for transactional risk insurance
Analyze the representations and warranties contained in the draft SPA from an insurance perspective and to determine potential solution structures.
Negotiate the terms of the Warranty & Indemnity (W&I) policy on behalf of the clients in order to structure a W&I policy which mirrors the SPA as closely as possible.
What you need to have:
5+ plus years of experience in Law firms.
Experience of working on PE / M&A transactions and have conducted legal DD.
Ability to manage diverse client cultures of Indian corporate, MNCs and PSU clients.
Domain knowledge preferred
