The Legal Manager is responsible for managing legal and contractual matters within Cypark Resources Berhad and its Group, ensuring compliance with legal standards and overseeing contract administration. The role involves providing legal support, managing corporate secretarial duties, and mitigating legal risks to protect the company’s interests.

RESPONSIBILITIES

Project Contracts

Draft, review, and negotiate contracts, service agreements, and other legal documents to ensure alignment with legal requirements, industry standards, and company policies.

Manage and track project contracts and ensure timely updates on their status.

Develop and maintain project contract reports and present to Management/Clients as needed.

Provide expert advice on contract interpretation and enforcement.

Establish and implement risk management protocols for contracts, including risk assessments related to budget, schedule, and probability.

Oversee project insurances, guarantees, and warranties to ensure compliance and coverage.

Assist in final account reconciliation and project closure activities.

Legal

Prepare legal letters, acquisition agreements, and other corporate legal documents.

Provide sound legal advice and guidance on various legal matters affecting the company.

Review contracts and legal documents to safeguard the organization’s interests.

Handle litigation, including filing lawsuits or defending the company, and liaise with external legal counsel in Malaysia and abroad.

Prepare and manage documentation for Arbitration Proceedings and ClPAA cases.

Conduct audits of company practices to ensure legal compliance.

Maintain secure documentation of all legal records and reports.

Corporate Secretarial Duties

Ensure compliance with statutory, regulatory, and corporate governance requirements.

Support and coordinate corporate secretarial tasks, including board meeting documentation and statutory filings.

Other Responsibilities

Attend to and resolve legal and contractual issues encountered by various departments or projects.

Work closely with all levels of management to maintain strong internal relationships.

Handle additional legal, contractual, or administrative tasks as assigned by the superior.

REQUIREMENTS

Educational Qualification: Bachelor’s Degree in Law or Legal Studies.

Experience:

Minimum 7–10 years of relevant working experience, preferably in a legal firm or construction-related industry.

Demonstrated experience in construction law, contract management, and regulatory compliance is highly advantageous.

Skills:

Excellent written and verbal communication skills in Bahasa Melayu and English.

Strong negotiation, interpersonal, and analytical skills.

Proficiency in risk management, project insurances, and litigation handling.

Attention to detail, highly organized, and a proactive problem solver.

A collaborative team player capable of working with limited supervision.
