Reports to: Chief Financial Officer (CFO)
Location: Chandol, Kathmandu
Shift: Standard (09:00 AM to 05:00 PM) from Sunday to Friday
Position Overview:
The Legal Manager will be responsible for overseeing and managing all legal matters of the organization while ensuring compliance with applicable laws, regulations, and corporate policies. The ideal candidate should possess strong legal expertise, leadership capability, excellent analytical skills, and the ability to manage legal risks in a dynamic business environment.
The Legal Manager shall play a critical role in protecting the organization’s legal interests, ensuring regulatory compliance, managing contracts and disputes, and providing strategic legal guidance to management and departments.
Roles and Responsibilities
Legal Advisory and Research
· Provide legal advice and strategic guidance to management on corporate, commercial, labor, and regulatory matters.
· Conduct detailed legal research and analysis on laws, regulations, and industry practices affecting the organization.
· Monitor changes in applicable legislation and recommend necessary organizational actions and policy updates.
· Prepare legal opinions, reports, memoranda, and case summaries for management review.
Contract Management
· Review, draft, negotiate, and finalize contracts, agreements, MOUs, and other legal documents.
· Ensure all legal documents adequately protect the organization’s interests and comply with applicable laws and internal policies.
· Provide support in resolving contract-related disputes and claims.
· Maintain and monitor contract documentation and renewal timelines.
Compliance Management
· Develop, implement, and monitor legal compliance frameworks, policies, and procedures.
· Ensure organizational compliance with labor laws, corporate laws, regulatory requirements, and industry standards.
· Conduct compliance reviews, audits, and risk assessments to identify potential legal exposures.
· Provide legal awareness and compliance training to employees and management.
Litigation and Dispute Management
· Coordinate with external legal counsel regarding litigation, arbitration, and legal proceedings.
· Prepare and review legal documents related to court cases, hearings, and disputes.
· Monitor ongoing legal cases and provide regular updates to management.
· Assist in handling employee grievances, disciplinary actions, and legal disputes.
Legal Documentation and Record Management
· Maintain proper legal records, licenses, permits, registrations, and statutory documents.
· Ensure timely renewal and updating of legal and regulatory documentation.
· Draft internal legal policies, notices, and official correspondence.
Stakeholder Engagement
· Liaise with government authorities, regulatory bodies, external lawyers, and other stakeholders on legal matters.
· Collaborate with internal departments to provide legal support on operational and strategic initiatives.
· Represent the organization’s interests during legal discussions and negotiations when
required.
Risk Management
· Identify potential legal risks and develop preventive and corrective risk mitigation strategies.
· Provide recommendations to minimize liabilities and protect organizational interests.
· Ensure legal compliance within overall organizational risk management practices.
Skills and Qualifications
Task Related Skills and Certifications
· Bachelor’s degree in Law or related field. Master’s degree and Bar License shall be an added advantage.
· Minimum 3 or more years of experience working in a legal role, preferably in corporate or commercial sectors.
· Strong knowledge of labor laws, corporate laws, contract management, and regulatory compliance.
· Experience in handling legal documentation, litigation coordination, and compliance management.
· Proficiency in Microsoft Office applications and legal documentation systems.
