Role Purpose
As a member of the Executive Team, the Director of Legal will provide strategic leadership and counsel to the MD, CEO, Executive Team, Board, and business units on all legal, M&A, regulatory, governance, compliance, and risk matters. This position is accountable for setting the legal and compliance strategy and overseeing governance structures.
This role ensures the Telecel Ghana Mobile Financial Service Limited maintains a robust legal and compliance framework, enabling sustainable growth, protecting corporate reputation, and aligning risk management with Telecel Ghana’s strategic objectives. The Director will drive a culture of integrity, transparency, and ethical conduct across the organization.?
Key Responsibilities
Strategic Legal Oversight
- Legal strategy — Develop and execute a forward-looking legal strategy aligned to business growth, network expansion, digital services, and enterprise solutions
- Executive advisory — Serve as principal legal advisor to the MD, CEO, ExCo, and Board on major decisions, contracts, disputes, and regulatory matters.
- Governance frameworks — Strengthen corporate governance, board processes, and compliance culture across the organization working with the Company secretariat.
- Lead corporate transactions (M&A, joint ventures, partnerships) at a strategic level, ensuring compliance and value creation in partnership with the Group.
Regulatory & Compliance Oversight
- Telecom regulatory compliance — Ensure full compliance with National Communications Authority, Bank of Ghana and other regulatory bodies.
Oversee AML/CFT, data protection, anti-bribery, anti-harassment, and code-of-conduct compliance.
Commercial & Contractual Management
- Contract negotiation — Lead negotiation and drafting of high-value commercial agreements
- Vendor & partner governance — Ensure contractual clarity, risk allocation, SLAs, and dispute mechanisms are robust and enforceable.
- M&A and strategic projects — Provide legal leadership for acquisitions, major financial transactions, JV structures and major capital projects.
Risk Management & Dispute Resolution
- Work with the local Risk Management Framework to identify, assess, and mitigate legal, regulatory, and contractual risks across the business.
- Litigation management — Oversee all litigation, arbitration, and external counsel relationships; ensure cost-effective and strategic case management
- Crisis response — Provide legal leadership during operational incidents, regulatory breaches, or reputational crises.
Leadership & Culture
- Lead and develop the Legal team to deliver strategic objectives.
- Ensure succession planning, capability development, and alignment with Telecel’s global legal strategy.
- Champion ethical behaviour and leadership, psychological safety, high integrity and zero-tolerance for misconduct
- Act as a trusted advisor to senior stakeholders, balancing risk with business opportunities with high internal stakeholder satisfaction
Requirements
Qualification Required & Experience
- Relevant University Degree (Law).
- At least 15 years’ senior legal experience in a leading organization, with a track record in M&A, financial transactions, closing large commercial transactions, governance, regulatory and compliance, Experience in government/public relations
- Senior leadership/management experience with proven ability to lead multidisciplinary teams.
- Proven leadership experience in senior legal roles, with strong governance and risk management expertise.
- Ability to translate complex legal and regulatory issues into strategic business decisions.
- Strong stakeholder management, influence, and negotiation skills at Board and Executive levels.
- Integrity, resilience, and sound judgment in high-pressure environments.
- Excellent communication and relationship management skills.
