Our client is a international MNC in the Healthcare industry, and a leader within their therapeutic area. Partnering closely with them, we are recruiting for a Legal Counsel whom is is responsible for providing legal, compliance, intellectual property, employment law and M&A support across the APAC region.
This role operates in a fast-paced environment with a high degree of autonomy. The successful candidate is expected to lead complex, high-impact matters across multiple jurisdictions while helping to drive a strong culture of integrity, accountability and risk-based decision.
Responsibilities:
(1) Strategic Legal Advisory & Business Partnering
- Serve as a strategic business partner to APAC leadership and country management teams, providing practical and commercially sound legal and compliance advice.
- Provide timely and risk-based recommendations on business initiatives, balancing legal considerations with commercial objectives.
- Contribute to the development and implementation of regional legal priorities, in alignment with the General Counsel, APAC.
(2) Commercial & Transactional Support
- Draft, review, negotiate and advise on a range of commercial agreements, including distribution agreements, service agreements, vendor agreements, consulting agreements, confidentiality agreements, clinical and research agreements, sponsorship agreements, etc.
(3) Disputes, Litigation & Crisis Management
- Manage and advise on disputes, claims, investigations and litigation matters across APAC markets.
- Advise the business leadership on legal risks and resolution strategies.
- Support crisis management activities arising from significant legal, compliance, regulatory, privacy or reputational matters.
(4) Regulatory, Compliance & Ethics Advisory
- Advise on compliance requirements across APAC, particularly within pharmaceutical and medical device regulations.
- Advise on internal investigations, compliance concerns, whistleblowing matters, conflicts of interests and remediation measures.
- Monitor and assess legislative and regulatory developments and advise on business implications.
(5) Data Privacy & Protection, & Information Governance
- Provide strategic advice on data privacy, data protection, emerging technology, and information governance matters.
- Advise on compliance with applicable privacy laws across APAC, including cross-border data transfers, data governance requirements, employee data processing, and customer data management.
- Support privacy impact assessments, data mapping initiatives, incident response activities, regulatory notifications, and investigations involving personal data.
- Partner with business, IT, HR, and other functional teams to strengthen data governance and privacy compliance frameworks.
- Support the development, implementation, and maintenance of privacy policies, procedures, controls, and training programs.
(6) Intellectual Property, Brand Protection & Enforcement
- Advise on intellectual property matters, including trademarks, copyrights, patents, branding initiatives, marketing materials, and licensing arrangements.
- Support trademark review and clearance, trademark filing strategies, and enforcement activities in collaboration with Global Intellectual Property teams.
- Support the General Counsel, APAC, to develop and implement regional brand protection strategies to safeguard the company's products, brands, and reputation.
- Manage anti-counterfeiting, parallel import, and unauthorized distribution matters across APAC, including the coordination of investigations and enforcement activities relating to counterfeit products, trademark infringements, online infringements, unauthorized sales activities, unfair competition, and related matters.
- Work with investigators, customs authorities, law enforcement agencies, external counsel, and internal stakeholders to protect company intellectual property rights.
(7) Leadership, Regional Coordination & Legal Operations
- Collaborate with cross-functional stakeholders including Commercial, Finance, HR, and Global Legal teams, and build strong relationships with regional leadership teams and influence decision-making through effective stakeholder engagement.
- Drive continuous improvements of legal operations, templates, processes, playbooks and knowledge management initiatives.
- Promote a culture of ethics, integrity, risk awareness, accountability, and collaboration.
Requirements
- Solicitor (or equivalent) with at least 10 years post qualification experience
- Significant experience in a regulated multinational company supporting multiple APAC jurisdictions; experience in commercial transactions, compliance, data privacy, disputes and regulatory matters
- Experience with Intellectual Property and Brand Protection enforcement activities will be an advantage
- Strong commercial acumen with the ability to balance legal risk and business priorities
- Executive presence and influence to build credibility and trust with senior leadership
