Cana Consulting is partnering exclusively with a leading investment platform seeking to appoint a Legal Counsel to support its growing investment activities across the region. This role offers exposure to sophisticated public and private market transactions, working closely with investment professionals and senior stakeholders on a broad range of legal and regulatory matters.
Key Responsibilities
- Provide legal support on public equity investments across Asia and other key markets. Hong Kong pre-IPO experience would be well regarded.
- Advise on cross-over investments, late-stage private financings and pre-IPO transactions.
- Review, draft and negotiate transaction documentation, including confidentiality agreements, subscription agreements, shareholders' agreements and other investment-related documents.
- Partner with investment teams throughout the transaction lifecycle, from deal evaluation to execution and post-investment matters.
- Advise on securities laws, regulatory requirements and corporate governance issues relevant to investment activities.
- Manage external counsel across multiple jurisdictions where required.
- Support internal legal and compliance initiatives and contribute to the enhancement of legal policies and processes.
Requirements
- Qualified lawyer with approximately 3–5 years' post-qualification experience.
- Experience gained within a leading international law firm and/or an investment manager, asset manager, hedge fund, private equity, venture capital or financial institution.
- Exposure to public equity transactions is essential. Hong Kong pre-IPO experience would be highly regarded.
- Experience with cross-over investments, late-stage private financings and/or pre-IPO transactions will be highly regarded.
- Strong drafting, analytical and commercial judgement.
- Able to manage multiple workstreams in a fast-paced environment.
- Excellent communication and stakeholder management skills.
- Proficiency in English is required. Chinese language capability would be advantageous but is not essential.
