Position: Legal Counsel – Hedge Fund (Dallas, TX)
An established global investment management firm is seeking a talented and motivated Attorney to join its Legal Department. This is an excellent opportunity for a lawyer looking to work in a dynamic, entrepreneurial, and intellectually rigorous in-house legal and compliance environment. The role involves providing legal counsel on the implications of operating a global investment management business and offers meaningful exposure to a broad range of legal, regulatory, and transactional matters.
Primary
Responsibilities
Provide legal counsel to front and back office personnel on a variety of legal and regulatory matters.
Draft, review, and assist in the preparation of client-related disclosures and documentation, including private fund offering documents, separate account agreements, and other investor-facing materials.
Draft, review, and negotiate trading-related agreements, including counter party and other transaction documentation.
Partner with the Compliance Department to support the firm’s compliance program in accordance with regulatory requirements of the SEC, CFTC, and other regulatory bodies.
Qualifications
J.D. from a top-tier law school and active bar membership in good standing.
3-8 years of experience at a major law firm, preferably with a focus on corporate transactions, capital markets, or investment funds.
Strong knowledge of U.S. securities laws and the regulatory landscape affecting investment managers.
Excellent written and verbal communication skills, with strong analytical and organizational abilities.
Highly motivated, intellectually curious, and able to work both independently and collaboratively in a fast-paced environment.
