We are partnering with an established infrastructure-focused private equity platform to appoint a Legal Counsel to join its legal team.
This is a broad, business-facing role with a primary focus on fund formation, fundraising and ongoing fund-related matters, alongside exposure to general corporate and strategic initiatives across the platform.
The role would suit a funds lawyer looking to work closely with investment, fundraising and senior management teams within a sophisticated private capital environment.
Key Responsibilities
- Advise on fund formation, structuring and fundraising across the firm’s investment strategies.
- Draft, review and negotiate fund documentation, including LPAs, subscription agreements, side letters and related investor documentation.
- Support investor negotiations and work closely with fundraising and investor relations teams throughout the fundraising lifecycle.
- Advise on ongoing fund governance, fund operations and investor-related matters.
- Coordinate with external counsel, fund administrators and other professional advisers across relevant jurisdictions.
- Provide legal support on general corporate and commercial matters across the group.
- Support strategic projects, corporate transactions and other initiatives as required.
- Work closely with investment, finance, compliance and senior management teams to provide practical and commercially focused legal advice.
Requirements
- Qualified lawyer with approximately 8–10 years’ PQE.
- Strong experience in investment funds, particularly fund formation and fundraising.
- Experience with private equity, infrastructure, real assets or other private capital funds would be highly relevant.
- Familiarity with fund documentation, investor negotiations and ongoing fund matters.
- Broader general corporate experience would be advantageous.
- Prior in-house experience within a private equity, investment management or alternative investment platform is preferred, although strong funds lawyers from leading law firms are encouraged to apply.
- Commercially minded with strong drafting, negotiation and stakeholder management skills.
