Our client, a well-established and rapidly growing global financial services company, is seeking a Corporate Governance In-House Counsel to join their dynamic legal team. This is a fantastic opportunity for a seasoned legal professional to play a critical role in shaping and maintaining the company’s governance framework as it scales.
The ideal candidate will bring a strong foundation in corporate governance, entity management, and regulatory compliance, particularly within the financial services or investment fund sectors. This role reports directly to senior leadership and involves close collaboration with internal stakeholders and external counsel.
Key Responsibilities:
Advise on corporate governance best practices and support the board and committee process.
Draft and manage corporate resolutions, meeting materials, and related documentation.
Oversee entity management and ensure compliance with corporate filing obligations.
Develop and maintain governance policies and internal controls.
Provide legal input on fund structures and regulatory obligations.
Work closely with the compliance and finance teams on operational risk and regulatory matters.
Candidate Profile:
J.D. from an accredited law school; active California Bar membership.
5+ years of relevant experience, ideally in-house within financial services or a law firm with fund clients.
Deep understanding of SEC and investment adviser regulations.
Strong written and verbal communication skills, with a practical, solution-oriented mindset.
