Key responsibilities

  • Review and negotiate investment management agreements (IMAs) with SMA managers, fund managers, and advisory firms during the transition from discretionary to advisory mandates.
  • Manage fund subscription and redemption documentation: subscription agreements, side letters, transfer documents, and KYC/AML compliance.
  • Review fund legal documentation: PPMs, LPAs, side letters, fee arrangements, key person provisions, and investor rights.
  • Advise on Jersey/Cayman SPV governance: board resolutions, regulatory filings, beneficial ownership declarations, and compliance with offshore regulations.
  • Support DIFC/DFSA regulatory: license renewals, DEWS compliance, and employment law matters.
  • Monitor CMA regulatory requirements relevant to the Investment Division’s operations and the Northern Trust Saudi CMA license.
  • Review and negotiate custodian agreements, fund administrator agreements, and data vendor contracts.
  • Advise on Shariah compliance requirements for designated portfolio sleeves.
  • Support the development of MFO client documentation: investment management agreements, client onboarding documents, and regulatory applications.
  • Maintain the legal knowledge base: all contracts, agreements, regulatory correspondence, and legal opinions ingested into the Document Intelligence Engine with obligation tracking.

Qualifications and experience

  • 5–8 years of legal experience in investment management, fund formation, or financial services regulation.
  • Strong understanding of fund legal documentation: PPMs, LPAs, subscription agreements, side letters.
  • Familiarity with GCC regulatory frameworks: CMA (Saudi), DFSA (DIFC), CBUAE, and offshore jurisdictions (Jersey, Cayman).
  • Experience with investment management agreement negotiation and fee structure analysis.
  • Understanding of Shariah compliance principles relevant to investment products.
  • LLB or equivalent law degree; admission to a relevant bar preferred.
  • Excellent drafting and negotiation skills in English.
