About the Role

FUJIFILM Philippines Inc. is looking for a highly motivated, commercially minded, and solutions-oriented Legal Counsel to support the company’s operations across its business divisions, including healthcare, imaging, business innovation, information technology, and corporate services.

The role will provide practical and strategic legal advice to internal stakeholders, support commercial and regulatory matters, manage legal risks, and ensure compliance with applicable Philippine laws, industry regulations, and FUJIFILM global policies. The successful candidate is expected to work closely with management, business units, regional counterparts, and external counsel in a fast-paced multinational environment.

This position is ideal for a lawyer with strong commercial contracting, compliance, labor, and corporatedvisory experience who can balance legal protection with business practicality.

Key Responsibilities

Commercial Contracts & Legal Documentation

  • Review, draft, negotiate, and advise on a wide range of commercial agreements, including: (i) distribution and reseller agreements; (ii) procurement and supply contracts; (iii) service agreement; (iv) maintenance and support agreements; (v) non-disclosure agreements; (vi) lease agreements; (vii) marketing and promotional agreements; and (viii) other business and operational contracts.
  • Ensure contracts are aligned with company policies, regulatory requirements, and risk management standards.
  • Provide legal interpretation and guidance on contractual obligations, liabilities, and dispute risks.

 

Business Advisory & Risk Management

  • Provide strategic and practical legal advice to management and internal stakeholders on business operations, commercial transactions, and operational risks.
  • Assist business units in identifying legal, regulatory, compliance, and reputational risks and recommend appropriate mitigation measures.
  • Support management in deal structuring, negotiations, and business initiatives.

 

Corporate Governance & Compliance

  • Assist in ensuring compliance with: (i) Philippine corporate laws and regulations; (ii) Data Privacy Act and cybersecurity regulations; (iii) labor and employment laws; (iv) competition laws; (v) government procurement regulations; (vi) environmental and regulatory compliance requirements; and (vii) internal company policies and global compliance standards.
  • Support internal investigations, administrative proceedings, compliance reviews, and policy implementation.
  • Assist in conducting legal and compliance trainings for employees and business units.

 

Regulatory & Government Affairs

  • Coordinate with government agencies, regulators, external counsel, and industry stakeholders regarding legal and compliance matters.
  • Support permit, licensing, accreditation, and regulatory compliance requirements relevant to FUJIFILM Philippines’ operations, including healthcare and medical device-related matters where applicable.
  • Monitor legal and regulatory developments affecting the company and provide timely updates and recommendations.

 

Labor & Employment Support

  • Assist in handling labor and employment concerns, including: (i) administrative investigations; (ii) disciplinary proceedings; (iii) policy interpretation; (iv) employee relations issues; and (v) coordination with external counsel in labor cases and proceedings.

 

Dispute Resolution & External Counsel Coordination

  • Assist in managing disputes, claims, and litigation matters involving the company.
  • Coordinate with external counsel on legal cases, regulatory matters, and legal opinions.
  • Support documentation, evidence gathering, and case management activities.
  • Assist in handling disputes, claims, litigation, and collection matters involving the company, including collection for sum of money cases, demand letters, settlement negotiations, and coordination with external counsel.
  • Support documentation, evidence gathering, case strategy discussions, and case management activities for civil, labor, and regulatory proceedings.

 

Cross-Functional & Regional Collaboration

  • Work closely with internal stakeholders across divisions, including Sales, Service, HR, Finance, IT, Compliance, and Operations.
  • Coordinate with regional and global legal/compliance counterparts when necessary.

Support implementation of regional and global legal initiatives, policies, and compliance programs.

 

Supervisory / Managerial Functions

  • Supervise and support junior legal or compliance personnel, where applicable.
  • Assist in improving legal processes, contract management systems, and compliance workflows.
  • Perform other legal, compliance, and corporate functions that may be assigned by management.

Qualifications & Experience

  • Member in good standing of the Philippine Bar.
  • At least three (3) years of relevant post-qualification experience in: corporate law, commercial contracts, compliance, labor, and employment; and/or regulatory advisory work.
  • Experience in a multinational corporation, healthcare, medical devices, technology, manufacturing, or regulated industry is an advantage.
  • Experience in handling collection matters, demand letters, civil litigation, or collection for sum of money cases is preferred.
  • Experience appearing before courts, quasi-judicial agencies, or government bodies is an advantage.
  • Strong experience in contract drafting, negotiation, and legal advisory.
  • Exposure to data privacy, compliance investigations, and corporate governance matters is preferred.
  • Experience dealing with government agencies and regulatory compliance matters is an advantage.
  • Excellent English communication, drafting, and presentation skills.
  • Proficient in Microsoft Office and legal documentation management.
