🟣About the role
Are you looking for a dynamic opportunity with a fast-growing, ASX-listed, global company? AI-Media (ASX:AIM) is currently on the hunt for a Legal Counsel r who is eager to add value to a purpose driven company! This role can be performed on a hybrid basis.
The primary objective this role is to deliver expert legal advice in a fast-paced, commercially focused environment, supporting AI-Media and its associated entities. The Legal Counsel supports the provision of a broad range of legal, risk, governance and compliance services to support corporate-level transactions and the operations of business units. Reporting to the COO, the Legal Counsel works collaboratively with senior leaders to ensure all operations of the Company are conducted within the limits prescribed by law and that the Company’s rights are protected through clear communication, strong drafting skills, effective negotiation and sound legal advice.
As Legal Counsel will be required to partner with other departments to support and guide them on legal matters and the legal implications of strategies. You will be required to understand the legal framework within which the Company operates and ensure that AI-Media and its associated entities remain in compliance with applicable laws and regulations across the jurisdictions in which the Company operates.
🟣In this role, you’ll:
- Provide general in-house legal support to the Executive Team and senior leaders on legal, risk and governance matters
- Ensure that the Company and all related entities meet and fulfil statutory obligations, duties and responsibilities as required by the Corporations Act, Privacy Act and all other relevant legislation
- Prepare, review and assess legal documents, service agreements, deeds, leasing documents and advise the Company accordingly
- Manage complex transactions such as M&A, debt facilities and other similar matters, including coordinating with external counsel where required and managing legal budgets appropriately
- Ensure that all agreements are duly executed in accordance with relevant legislation and that company records are appropriately maintained
- Work closely with senior leaders on significant corporate initiatives and commercial projects
- Assist in planning and managing legal budgets and expenditure
- Maintain and manage relationships with external legal advisers to support the efficient and effective provision of legal services, including managing matters briefed to external lawyers
- Lead, advise and coordinate the development, maintenance and protection of the intellectual property portfolio of the business
- Negotiate major commercial and non-routine transactions while managing internal stakeholder interests and mitigating legal risk
- Research legislation affecting the Company and ensure that relevant business units are informed of new or proposed legislation and policy changes
- Provide accurate and timely legal advice across a range of matters including partnerships, international ventures, corporate finance, governance, risk, compliance and intellectual property
- Support the development and monitoring of internal governance policies and corporate compliance, including providing guidance and training to stakeholders as required
- Research and evaluate legal and regulatory risk factors associated with business decisions and operations
- Draft and solidify agreements, contracts and other legal documents to ensure the C legal rights are protected Deal with complex matters with multiple stakeholders and forces
- Communicate and negotiate with external parties, including regulators, external counsel and public authorities
- Provide clarification on legal language and contractual terms to stakeholders within the organisation
- Maintain current knowledge of changes in legislation and regulatory requirements
- Provide guidance, mentorship and support to junior legal staff as required
- Build collaborative and productive working relationships across the organisation and with key external stakeholders
- Conduct all work to the highest standards with accuracy, professionalism and integrity
🟣About You
Essential Skills & Qualifications:
- Law degree
- 4+ years of experience
- Strong analytical, organizational, and communication skills.
- Outstanding communication and planning skills, able to clearly explain and present ideas
