Job Description
The Legal Counsel will report directly to the General Counsel.
Responsibilities will include:
Advise internal clients on a wide range of complex commercial transactions.
Draft, review and negotiate a wide range of high volume corporate contracts and commercial agreements.
Assist with the preparation and planning for board and committee meetings.
Oversee and analyze/advise with respect to global corporate administration efforts, including compliance with international, federal and state laws, maintaining foreign and domestic entities, and executive compensation and stock administration.
Assist on other projects as needed, including general corporate, compliance and risk management, data privacy issues, and overseeing external counsel.
The Successful Applicant
JD from a top US ABA-accredited law school with exceptional academic credentials
Admission to NY or CA State Bar
3+ years of experience dealing with commercial and corporate legal matters gained at a top-50 law firm with start-up/tech client experience
Exceptional drafting and negotiating skills
A team player who relates well with management and counterparts
Able to demonstrate a high level of independent reasoning, excellent analytical judgment and
strong business judgment
Ability to balance competing projects in a fast-paced environment
Excellent verbal and written communication, negotiation and presentation skills with the ability to
effectively interact with numerous business units
Meticulous attention to detail and superior organizational skills.
