LDU is not a law firm and does not provide regulated legal advice — we work alongside our clients’ legal counsel and external law firms to get commercial work done fast.

The Role

We’re hiring a Legal Counsel based in the Philippines to work directly with our CEO supporting LDU’s growing portfolio of client mandates across Singapore and APAC, plus internal operations. This is a hands-on, generalist role suited to someone who wants ownership over commercial and corporate matters in a lean, fast-moving environment — not a back-office support seat.

You’ll be the second pair of legal hands across client-facing advisory work, contract drafting and review, and internal corporate matters, working closely with our CEO remotely and with real autonomy to run matters once ramped up.

What You’ll Do

  • Draft, review, and negotiate a range of commercial contracts (SaaS, services, partnership, employment, vendor agreements) for LDU’s clients
  • Support corporate advisory work — governance, shareholder matters, corporate structuring coordination — alongside external counsel where needed
  • Assist with client intake, scoping, and translating client requirements into clear commercial terms
  • Help manage LDU’s own corporate, compliance, and contractual matters
  • Coordinate with external law firms, corporate secretarial providers, and other partners on matters requiring formal legal opinions or regulated advice
  • Flag legal, regulatory, and commercial risk clearly and pragmatically — with a bias toward workable solutions, not just issue-spotting
  • Support CEO on client calls and negotiations as needed

What We’re Looking For

  • 6+ years PQE, ideally with a mix of law firm and in-house/startup exposure
  • Qualified to practise law in the Philippines (Philippine Bar); exposure to Singapore or cross-border APAC commercial matters is a strong plus
  • Strong commercial contract drafting and negotiation skills
  • Comfortable working directly with founders and startup clients — pragmatic, responsive, not precious about scope
  • Able to work independently in a small, fully remote team with minimal hand-holding
  • Clear, direct communicator — written and verbal
  • Prior exposure to tech, fintech, or startup clients is a plus, but not required
