Are you a motivated legal professional with experience in corporate law, M&A, or transaction execution? We are supporting a global organisation undergoing a major business separation and are looking for an interim Junior Legal Counsel to join the team.

This role is perfect for someone who enjoys fast-paced, project-driven work, dealing with multiple stakeholders, and contributing to a large-scale carve‑out.

About the Role

As a Junior Legal Counsel, you will support the legal execution of a business-unit separation. Your focus will be on:

Carve-Out & Separation Execution

  • Supporting the legal implementation of the carve-out structure
  • Coordinating legal workstreams and separation activities
  • Tracking progress and ensuring deadlines are met

SPA (Share Purchase Agreement) Execution

  • Assisting with legal obligations between signing and closing
  • Monitoring milestones and managing legal deliverables
  • Preparing and organising required closing documentation

Contract Transfers

  • Identifying and tracking contracts requiring assignment, novation, or third‑party consent
  • Coordinating with business teams to gather information
  • Supporting drafting or review of standard transfer documentation

Internal & External Coordination

  • Acting as a key liaison with internal teams (commercial, procurement, finance, operations)
  • Working closely with external counsel and managing incoming requests
  • Maintaining documentation and trackers for all legal workstreams

Candidate Profile

We’re looking for someone who brings:

  • Qualified lawyer, with approx. 2–6 years PQE
  • Experience in corporate law, M&A, transactions, or similar work
  • Exposure to carve‑outs, reorganisations, or contract transfers is a plus
  • Strong coordination and project management skills
  • Ability to work independently while collaborating with multiple stakeholders
  • Comfortable in a fast-moving, transaction-focused environment
