About the Role
Spine Ventures, a Turkish holding company with investments across a range of sectors, is seeking a talented and motivated Junior to Mid-Level Corporate / M&A Legal Counsel to join its in-house legal team.
Working closely with senior counsel and business teams from the outset, you will advise the Group's companies and business units across various sectors on a broad range of corporate governance matters, complex restructurings, and domestic and cross-border transactions.

Key Responsibilities
- Support the Group's domestic and cross-border M&A and investment transactions, legal due diligence exercises, corporate governance matters, and transaction documentation.
- Draft board and shareholder resolutions, manage general assembly processes for the Group's companies, and prepare all related corporate documentation, including notices, meeting minutes, attendance lists, and trade registry filings.
- Advise on corporate reorganisations and restructurings, including mergers, demergers, capital increases and reductions, incorporations, liquidations, and share transfers, and prepare all related legal documentation and implementation plans.
- Prepare, review, and negotiate a broad range of commercial contracts and intra-group agreements.
- Instruct, coordinate, and manage local and international external counsel (including external litigation counsel on disputes handled outside the Group), monitor transaction workstreams, review legal memoranda, and provide practical legal advice on corporate law matters.
- Support the Group's regulatory compliance and corporate governance framework, including monitoring relevant legislative developments and implementing internal policies, approvals, and processes across Group entities.
- Manage contract lifecycle and approval processes and develop standard templates, playbooks, and legal workflows for use across the Group's companies.
- Build and maintain trusted relationships with internal stakeholders and business units by providing practical, commercially focused legal advice.
- Communicate confidently and professionally with board members, senior executives, regulators, and other stakeholders.
- Collaborate closely with the legal team and colleagues across the Group's business units and functions to deliver high-quality legal support.
Qualifications
- Law degree and admission to a Bar Association in Türkiye.
- One to six years of experience in Corporate / M&A practice at a reputable law firm or an in-house legal team.
- Strong knowledge of Turkish company law, corporate governance, and commercial contracts.
- Excellent legal drafting, analytical, and problem-solving skills.
- Strong organisational skills with the ability to manage multiple matters and competing deadlines.
- Excellent command of written and spoken English, with the ability to draft legal documentation and communicate effectively with international counterparties and stakeholders.
- Strong commercial awareness and the ability to provide practical, solution-oriented legal advice.
- High level of integrity, professionalism, and attention to detail.
Preferred Qualifications
- An LL.M. degree is an advantage.
- Familiarity with international transaction practice and foreign legal frameworks, particularly UK and US legal concepts.
- Experience in an in-house legal team or advising groups and holding companies, and participating in cross-border transactions.
- A proactive mindset, intellectual curiosity, and a commitment to continuous learning.
- Ability to work both independently and collaboratively in a fast-paced environment.
