The ideal candidate will be a hands-on in-house legal professional supporting the Head of Legal (SEA) across the Group's operations in Thailand and the wider region. From day one, you will be actively involved in live transactions, regulatory initiatives, commercial matters, and day-to-day legal operations, while receiving ongoing mentorship and structured exposure to the full spectrum of fintech legal practice.

This role offers an excellent opportunity to accelerate your legal expertise in a fast-paced fintech environment. You will be expected to develop a strong understanding of the Group's business and regulatory landscape, build substantive legal knowledge quickly, and progressively take ownership of increasingly complex legal matters as your experience grows.

Responsibilities

Legal Drafting & Commercial Contracts

● Draft, review, and negotiate a broad range of commercial agreements including technology services agreements, partnership arrangements, agency and distribution agreements, and intercompany documents.

● Coordinate with counterparty counsel and manage comment cycles through to execution.

● Maintain and develop the group's standard template library.

Regulatory Compliance & Licensing

● Support ongoing compliance obligations under Thai BOT regulations (e-Money, MTA/FX) and other applicable licenses across group entities.

● Assist with regulatory filings, license renewals, condition variations, and regulator correspondence.

● Monitor regulatory developments in digital payments and digital assets across target jurisdictions and flag material changes.

● Support submissions to Thai SEC and other regulators on new licensing applications and sandbox engagements.

Company Secretarial & Corporate Governance

● Manage board and shareholder meetings for Thai entities – prepare notices, agendas, minutes, and resolutions.

● Maintain statutory registers and corporate records in good order.

● Coordinate with Thai DBD for filings, and with group corporate secretaries in Singapore, Hong Kong, and other jurisdictions.

● Support director and shareholder approvals for material corporate actions.

Corporate Transactions

● Provide legal support on M&A transactions, fundraising rounds, and group restructuring – including due diligence, transaction documents, and closing mechanics.

● Coordinate with external counsel and manage transaction workstreams.

Legal Research & Advisory

● Research Thai and regional regulatory frameworks relevant to payments, e-money, digital assets, and financial services.

● Prepare concise legal summaries and briefing notes for business stakeholders.

● Support external counsel engagement and manage instruction files.

Qualifications

Essential

● Bachelor's degree in Law (Thai Bar Admission is a plus).

● Minimum 5 years of post-qualification experience, with a substantial portion in private practice at a reputable law firm – experience in corporate, banking & finance, or regulatory practice preferred.

● Excellent written and spoken English, at a standard suitable for cross-border legal drafting, client correspondence, and regulatory submissions. Strong Thai language skills equally required.

● Solid grounding in Thai corporate law, company secretarial practice, and commercial contract drafting.

● Ability to manage multiple workstreams concurrently, work independently, and meet deadlines without close supervision.

● High attention to detail, sound legal judgment, and a proactive, ownership-oriented mindset.

Preferred / Advantageous

● Experience in payments, e-money, or fintech – whether in-house or from a firm advising clients in these sectors.

● Familiarity with BOT licensing frameworks (e-Money, MTA, Payment System Operator).

● Exposure to digital assets regulation (Thai SEC, VASP frameworks) or cross-border financial services.

● Experience supporting M&A transactions or fundraising rounds.

● Prior in-house experience as a second role after law firm training.
