Your tasks and responsibilities:
- Provide legal advice on Luxembourg investment fund structures (UCITS, AIFs, SICAVs, RAIFs, SIFs, etc.), including any related aspects of corporate law, contract law, GDPR and outsourcing.
- Support the onboarding of new clients, including review and negotiation of contracts (confidentiality, administration agreements, other related letters, instructions or documents).
- Draft, review and update legal documentation related to administrative fund activities, including negotiations of agreements related to investment funds in English and French, with the clients or third-party service providers, as required.
- Ensure administrative tasks as execution of agreements and other documents, fill in and maintain up to date the internal contract database, archiving.
- Liaise with internal and UI intra-group teams (business, compliance, operations, risk), and external stakeholders (law firms, clients).
- Advise on legal and regulatory matters, including CSSF requirements and applicable EU regulations (AIFMD, UCITS Directive, etc.)
- Monitor legal and regulatory developments impacting the fund industry in Luxembourg, maintaining an active legal watch.
- Assist in managing legal risks and contribute to internal policies and procedures.
- Contribute to UI group business projects by delivering practical and commercially sound legal recommendations.
- Provide support to the Head of Legal and collaborate with team members on various legal matters.
Your skills and experience:
- Degree in Law (BAC+5); CDDL qualification is considered an asset.
- Minimum of 3 years’ experience as a Legal Advisor, ideally within the investment funds industry, either in a financial institution or a law firm.
- Fluent in English; knowledge of French is an advantage.
- Strong knowledge of the legal duties and obligations in relation to administrative agent functions.
- Ability to work independently with a strong sense of initiative, combined with rigor and excellent analytical and problem-solving skills.
- Strong organizational and coordination abilities, with keen attention to detail and the capacity to prioritize effectively.
- Flexible and versatile, with the ability to handle a broad range of legal topics.
- Excellent drafting, writing, and communication skills.
- Strong interpersonal skills, with a collaborative, team-oriented mindset and high level of motivation.
