The Role

Aroundtown Netherlands is currently recruiting for a Legal Counsel for their Amsterdam office in The Netherlands.

As Legal Counsel, you will provide legal advice on corporate matters, contracts, regulatory compliance, and risk management.

Responsibilities

  • Preparation, review and negotiation of transaction-related documentation: NDAs, brokerage agreements, LOIs, SPAs, option agreements etc.;
  • Preparation and review of finance-related documentation: new loan documentation and amendments of the existing agreements, step plans and documentation for clearing of IC balances/loans (quarterly), distributions, debt to equity conversions, audit-related documents (e.g. legal letters), documentation related to external financing etc.;
  • Corporate Governance: preparation of various corporate documentation, incorporations and dissolutions of companies, amendments of constitutional documents, documentation for board changes, maintenance of shareholders registers, UBO registrations, maintenance of the company overview, coordination of internal restructurings (annually);
  • Corporate law-related matters: review and drafting of Shareholders agreements, joint venture agreements, documentation for share transactions etc.;
  • Preparation of quarterly overviews of changes, maintenance of the structure charts (NL + global);
  • Providing KYC documentation; and
  • Support for group projects and other ad hoc requests.

Your Skills & Experience

  • You are a lawyer (LL.M.) with knowledge of Dutch corporate law, with at least 3 years (max 6 years) of experience as a lawyer in an international setting and/or as in-house counsel.
  • You have extensive experience in drafting, assessing and negotiating all kinds of (complex) corporate agreements and documentation, loan documentation, NDAs, general terms and conditions.
  • You have a proactive and results-oriented attitude and you enjoy working in a fast moving multicultural and international environment.
  • You have good oral and written skills in English.
  • You know how to multitask and prioritize.
