Responsibilities:
• Providing advice and counsel on legal matters regarding solar farm investment, project development, business structure, corporate, compliance, EPC, M&A, financing, etc.;
•Drafting, reviewing and negotiating land lease or purchase agreement, development service agreement, joint venture agreement, share purchase agreements, loan contracts, power purchase agreement, other commercial contracts and assisting with transaction and financial close, etc.;
• Providing ad hoc legal and commercial advice typical of an in-house position, considering the overall business interests of the company, identifying the risks of business and giving advice to mitigate even eliminate those risks for the purpose of facilitating the business;
• Liaising with and managing external legal advisors, ensuring quality and consistency of service, reviewing documentation prepared by external legal advisors.
• Handling and advising on cases, issues, or concerns regarding dispute resolution, risk management, compliance etc.,
• Providing support in relation to the projects application process, including project approvals and licensing.
• Working closely with the other departments –project development, M&A, financial, EPC, etc. of the company.
• Assist in and provide other legal support requested by line manager and dot line manager.
Requirements:
• Qualified lawyer, admitted to practice law in the Korea.
• Working proficiency in English is required.
• 6-10 years’ solid and proven working experience as legal counsel and/or lawyer having dealt with a variety of related contracts, agreements and works.
• Experience in negotiating, drafting and reviewing a wide variety of commercial, land lease/ purchase agreement, M&A, finance and/or projects agreements. Ideally, the candidate will have experience of working in the renewable energy industry or for renewable energy clients.
• Able to work confidently and pro-actively in a team and alone.
• Approaches work with diligence and attention to detail.
• Able to work effectively and smoothly with broad range of people and personalities with diversity.
• Able to understand the commercial arrangement fully and thoroughly.
