Job Summary:
The Legal Counsel will provide legal advice and support to the organization on a wide range of legal matters, ensuring compliance with Saudi Arabian laws and regulations. The role involves drafting and reviewing contracts, managing legal risks, handling disputes, and supporting corporate governance initiatives. The ideal candidate will have strong knowledge of Saudi commercial, labor, and corporate laws, as well as experience working within the Kingdom’s legal framework.
Key Responsibilities:
Legal Advisory:
Provide timely and accurate legal advice to management and departments on various legal issues, including commercial, labor, and regulatory matters.
Ensure compliance with Saudi Arabian laws, including but not limited to the Companies Law, Labor Law, and other relevant regulations.
Contract Management:
Draft, review, and negotiate contracts, agreements, and legal documents (e.g., vendor contracts, employment agreements, NDAs, MOUs).
Ensure all contracts comply with local laws and organizational policies.
Dispute Resolution:
Manage and resolve legal disputes, including litigation, arbitration, and mediation, in collaboration with external legal counsel when necessary.
Represent the company in legal proceedings or coordinate with Holding and external lawyers as required.
Regulatory Compliance:
Monitor changes in Saudi Arabian laws and regulations and advise the organization on necessary adjustments to policies and practices.
Ensure compliance with government regulations, including those issued by the Ministry of Commerce, Ministry of Human Resources, and other relevant authorities.
Risk Management:
Identify and mitigate legal risks associated with business operations.
Conduct legal due diligence for mergers, acquisitions, partnerships, or other transactions.
Employment Law:
Advise on labor law compliance, including Saudization (Nitaqat) requirements, employee contracts, terminations, and workplace policies.
Handle employee grievances, disciplinary actions, and disputes in accordance with Saudi labor laws.
Stakeholder Collaboration:
Collaborate with internal teams (e.g., HR, Finance, Operations) to address legal concerns and ensure alignment with organizational goals.
Liaise with external stakeholders, including government entities, regulatory bodies, and legal advisors.
Required Qualifications:
Education:
Bachelor’s degree in law.
A master’s degree in law or a related field is a plus.
Experience:
Minimum of 5 years of experience as a Legal Counsel or in a similar role, preferably within Saudi Arabia.
Experience in corporate, commercial, and labor law, copyrights, government tenders and procurement also regulatory compliance in Saudi Arabia.
Certifications:
Licensed to practice law in Saudi Arabia (preferred).
Technical Skills:
Strong knowledge of Saudi Arabian laws, including Companies Law, Labor Law, copyright law, government tenders and procurement.
Proficiency in drafting and reviewing legal documents and contracts.
Familiarity with legal research tools and databases.
Language Skills:
Fluent in Arabic and English (written and spoken).
Soft Skills:
Excellent communication and interpersonal skills.
Strong analytical and problem-solving abilities.
Attention to detail and high ethical standards.
Ability to work independently and as part of a team.
Strong negotiation and conflict resolution skills.
