An international investment management group is seeking to add a Legal Counsel to their team of 4 in Luxembourg. The role will report into the Head of Legal based there.
Responsibilities will include the following:
Creation of new products/investment vehicles (PPMs/LPAs/ancillary documentation)
Draft and update prospectuses, constitutional documents and contractual documentation and liaising with external legal counsel
Management of the corporate life of existing vehicles (extensions, LPS approvals, etc.), including the drafting of board resolutions.
Submit files and liaise with the regulator (CSSF)
Negotiate agreements with counter parties on behalf of the funds and/or the AIFM, including NDAs (and similar agreements) for the private assets team.
Preparation of the legal activity reports to the boards of managers of the general partners and board of directors the AIFM
The candidate
Degree in law in a European civil or common law jurisdiction (bar admission is an asset).
Relevant experience (3 to 7 years) gained in a law firm, AIFM or management company or other in a financial institution.
Proficient knowledge of the laws and regulations affecting the funds and the asset management sector in particular private asset AIFs.
Excellent drafting and analytical skills and with good attention to detail
Excellent communication skills in English and French
Salary range for this role is 100-120k basic plus an extensive benefits package.
