The Legal Counsel is responsible for ensuring compliance with corporate governance standards, managing board-related activities, and providing legal support to the company. The role involves acting as a key liaison between the board of directors, management, shareholders, and regulators, ensuring that the company adheres to all relevant laws, policies, and ethical standards.
Key Responsibilities:
Corporate Governance:
- Ensure the company complies with corporate governance standards, regulatory requirements, and internal policies.
- Advise the board of directors on their duties, responsibilities, and best practices in governance.
Board and Shareholder Meetings:
- Prepare notices, agendas, and supporting documents for board, committee, and shareholder meetings.
- Record accurate and comprehensive minutes of meetings and maintain corporate records.
- Coordinate the timely submission of resolutions and other board actions to relevant regulatory bodies.
Regulatory Compliance:
- File corporate documents and disclosures required by the Securities and Exchange Commission (SEC), Energy Regulatory Commission (ERC), and other government agencies.
- Ensure timely compliance with regulatory requirements specific to the energy and power generation industry.
Documentation and Records Management:
- Maintain an organized system of corporate records, including minutes, contracts, agreements, and shareholder communications.
Qualifications:
- Education: Juris Doctor or Bachelor of Laws (LL.B.), licensed to practice law in the Philippines.
- Experience: At least 5–7 years of combined experience in corporate law, governance, and regulatory compliance, with exposure to the energy/power industry preferred.
- Knowledge:
- Strong understanding of corporate governance principles and regulatory compliance in the Philippines.
- Familiarity with laws and regulations affecting the energy sector, including EPIRA, ERC rules, and other industry-specific frameworks.
- Skills:
- Exceptional organizational and communication skills.
- Strong legal drafting, analytical, and negotiation abilities.
- Ability to interact effectively with high-level stakeholders (e.g., board members, regulatory officials).
- Familiarity with SEC, ERC, and other regulatory filing systems.
