Job Summary
The successful candidate will serve as a crucial partner to various business units, providing comprehensive and prompt legal and risk advisory services to support SAESL”s operations. The role offers exposure to a diverse range of corporate legal matters, from routine contracts to complex project agreements and mergers & acquisitions documentation, such as joint venture agreements.
Job Description
Draft, review and negotiate a variety of corporate and commercial contracts, including but not limited to master services agreements, supply of goods agreements, procurement contracts, maintenance/repair/overhaul service agreements, joint venture contracts, financing documents, construction agreements, and licenses.
Provide advisory services on compliance-related matters, including but not limited to anti-bribery and corruption laws, sanctions, and export control regulations.
Offer legal guidance on employment law and intellectual property.
Draft board and shareholder resolutions and minutes, prepare corporate secretarial documentation and board packs, and liaise with external corporate secretarial agents.
Communicate and collaborate with various stakeholders in the United Kingdom and Singapore.
Advise on disputes and claims, managing external counsel in their conduct of these matters where necessary.
Establish and maintain the legal workflow, including the contract template database and the NDA repository.
Provide ad hoc legal training to internal departments.
Requirements
Possess a good LLB (Honours) or JD degree from a reputable university (local or foreign) with a minimum of six years” post-qualification experience as a lawyer in private practice at law firms specializing in corporate work or as an in-house legal counsel.
Exhibit strong and precise drafting skills, excellent communication abilities, and a strong commercial acumen.
Demonstrate the ability to work as a team player, while also being capable of working independently, guided by a code of ethics, and with the confidence to make independent decisions.
Proficiency in IT applications.
