Legal Consultant – US Capital Markets
Location: Hong Kong
This position is responsible to provide full spectrum of legal support to the US Capital Markets team.
Job Duties
Working closely with the supervising Partner and Associates in equity capital markets team
Processing comments from seniors and external parties and proof-reading, translating Chinese disclosure documents and drafting business disclosure in English
Handling stock exchange listing rules and 1934 Exchange Act compliance matters for U.S. listed companies
Conducting listing applications for U.S. IPO projects and preparing ancillary legal documents (such as prospectus，information request lists，agreements, resolutions, announcements, closing memorandum, document checklist, etc.)
Preparing due diligence questionnaire, liaising with auditors and other professional parties
Attending to daily deal execution, filling documents and emails, liaising with different parties of a transaction
Assisting in preparing pitchbook when needed.
Requirements
LLB/LLM/JD degree is preferred
2-3 years of prior experience in US IPOs
Knowledge in accounting/finance is preferred but not necessary
Highly proficient in English with excellent writing skills and fluent in Mandarin is required
Proficient in utilizing relevant computer software, including Word and Excel
Independent, willing to learn, proactive, hard-working, team player and detail-oriented
Ability to work under pressure and in a fast-paced environment
