Role Overview
We are seeking an experienced and proactive business-minded Legal Officer to join our Front Office team in Amsterdam. This position is ideal for individuals with a strong background in (debt) financing transactions within banking sector, large corporates, or law firms, and a minimum of 4 years of relevant experience in the legal field. As a Legal Officer, you will provide essential commercial legal support for stakeholders across various jurisdictions assisting in arranging complex financial transactions. The role requires expertise in EMTN documentation, LMA loans, and a hands-on, detail-oriented approach to legal matters in a fast-paced, high-pressure environment.
Key Responsibilities
EMTN Documentation:
Review, draft, and finalize key documentation for standardized MTN Programs, including:
Pricing Supplement
Dealer Accession Letter
Subscription Agreement
Dealer Confirmation Letter
Manage post-trade reporting, including regulatory obligations such as EU Product Governance rules.
LMA Loans:
Act as the primary point of contact for external legal firms representing borrowers, lenders, and arrangers.
Review and assess lender comments, determine their relevance, and collaborate with external legal advisors when necessary.
Draft and finalize documentation related to LMA syndications, including:
Lender NDAs
Syndication Schedules
General Legal Tasks:
Provide legal support for private placement transactions, including SSD, NSV, and stand-alone bonds.
Collaborate with the origination and syndication teams, providing legal input and support for financial transactions.
Ad hoc:
On ad hoc basis, assisting SFI’s legal team with any legal commercial/corporate related tasks
What You’ll Bring
Experience: Minimum of 4 years in a legal role within banking, large corporations, or law firms, with a focus on complex financial transactions. Specific experience with EMTN and LMA transactions is highly desired.
Academic qualifications: bachelor or master degree in commercial/company/business (international) law
Skills:
Expertise in EMTN and LMA syndications, including documentation and related processes.
Advanced drafting, negotiating, and legal review abilities.
Strong commercial legal knowledge, especially in multi-jurisdictional environments.
Attributes:
Excellent ability to perform under pressure in a fast-paced, high-stakes environment.
Strong problem-solving skills and ability to handle competing priorities effectively.
Exceptional communication skills to liaise with internal teams, external advisors, and clients.
