DarrowEverett LLP is seeking a highly organized and motivated Legal Assistant to support our Corporate, Intellectual Property, Technology, and Real Estate practice groups in our Miami office. The ideal candidate will possess exceptional communication and administrative skills, strong attention to detail, the ability to manage multiple priorities efficiently, and a commitment to maintaining the highest level of professionalism and client service.

This position supports attorneys and paralegals across a broad range of transactional and business matters, including corporate governance, mergers and acquisitions, commercial contracts, intellectual property protection, technology transactions, real estate acquisitions and leasing, and general business operations.

Principal Duties and Responsibilities

  • Prepare, revise, proofread, and format legal documents, correspondence, contracts, corporate records, trademark filings, real estate documents, and other transactional materials.
  • Assist with the preparation and filing of trademark applications, trademark maintenance filings, and related correspondence with the United States Patent and Trademark Office (USPTO).
  • Prepare and maintain corporate records, including organizational documents, annual reports, resolutions, meeting minutes, and entity governance records.
  • Assist attorneys with due diligence, closing binders, signature packages, and transaction management for mergers and acquisitions, financing transactions, and real estate matters.
  • Coordinate closings, meetings, conference calls, and client appointments, including all correspondence and logistics.
  • Maintain electronic and physical client files and ensure proper organization and document retention.
  • Manage legal documentation and correspondence in strict confidence.
  • Monitor deadlines and assist attorneys in maintaining calendars and project timelines.
  • Draft routine correspondence and communicate professionally with clients, governmental agencies, opposing counsel, title companies, lenders, and other third parties.
  • File, organize, scan, copy, and manage legal documents in an accurate and timely manner.
  • Answer phone calls, take messages, and direct inquiries appropriately.
  • Facilitate administrative projects, monitor deadlines, and provide timely reminders to attorneys and staff.
  • Assist with time entry, billing support, expense management, and other administrative functions.
  • Perform other related duties as assigned.

Qualifications

  • Must be bilingual in English and Spanish.
  • Minimum of 2 years of experience as a legal assistant, executive assistant, or similar professional support role in a law firm or corporate legal department.
  • Experience supporting corporate, real estate, intellectual property, or transactional practices preferred.
  • Familiarity with business entities, corporate governance documents, contracts, commercial transactions, and real estate documentation.
  • Experience with trademark prosecution and USPTO filings is a plus.
  • Proficiency in Microsoft Office Suite, including Word, Outlook, Excel, and PowerPoint.
  • Experience with document management systems and legal practice management software preferred.
  • Exceptional organizational skills and attention to detail.
  • Ability to prioritize competing demands and meet deadlines in a fast-paced environment.
  • Strong written and verbal communication skills.
  • Ability to work collaboratively with attorneys, clients, and professional staff.
  • Demonstrates professionalism, discretion, sound judgment, and a commitment to excellent client service.
