We operate under the regulatory standards of the Comisión para el Mercado Financiero (CMF) and the Unidad de Análisis Financiero (UAF), and we are seeking an experienced legal and compliance professional to strengthen our team.
About the Role
The Legal & Compliance Officer is the Branch's institutional Compliance Officer. You will safeguard the legal and reputational integrity of the Branch, lead its compliance management framework, and act as the designated Compliance Officer before the CMF and the UAF.
The role partners with the AML Compliance Officer on the AML/CFT and Economic Crimes Prevention Programme, owns the Crime Prevention Model under Laws No. 20.393 and 21.595, and supports Senior Management and governance bodies on legal and regulatory matters. You will report directly to the General Manager and functionally to the Compliance Committee, with full professional autonomy in your technical and regulatory mandate.
Key Responsibilities
Legal Management
- Coordinate external legal counsel and ensure quality of legal services to the Branch.
- Provide legal opinions on corporate, contractual, regulatory, labor, and tax matters.
- Review key banking transaction documents — guarantee letters, promissory notes, and similar instruments — for legal soundness and enforceability.
- Lead legal verifications and reports as part of KYC procedures, in coordination with Corporate Banking.
- Maintain corporate legal records, including powers of attorney and statutory filings, in coordination with external counsel.
- Monitor legal and regulatory developments and communicate implications to the Branch.
Compliance & Regulatory Function (CMF & UAF)
- Act as the Branch's designated Compliance Officer before the CMF and the UAF, managing regulatory communications, periodic reports, and responses to inquiries.
- Design, implement, and maintain the Branch's Compliance Management System.
- Implement and maintain the Crime Prevention Model under Laws No. 20.393 and 21.595.
- Draft and update internal compliance directives, including the Code of Conduct, Conflict of Interest Policy, Data Protection Policy, and AML/CFT Manual.
- Lead internal investigations related to compliance breaches, fraud indicators, and economic crime matters.
- Manage the internal whistleblower channel, ensuring confidentiality and proper handling of disclosures.
- Coordinate compliance audits and respond to internal audit, CMF, and UAF inquiries.
AML/CFT — Institutional Partnership
- Partner with the AML Compliance Officer to ensure the institutional, legal, and regulatory consistency of the AML/CFT and Economic Crimes Prevention Program.
- Provide legal and regulatory support on program design, policy updates, sanctions screening criteria, and reporting protocols, recognizing the AML Compliance Officer as the Branch's specialist lead on AML/CFT matters.
- Serve as institutional escalation point on AML/CFT matters that require legal interpretation, coordination with the CMF, or involvement of governance committees.
- Act as operational back-up of the AML Compliance Officer during absences (reciprocal arrangement).
- Conduct, jointly with the AML Compliance Officer, periodic LA/FT institutional risk assessments and validate mitigation controls.
Training, Regulatory Interface & Governance
- Promote a strong culture of ethics, compliance, and accountability across the Branch.
- Design and deliver compliance awareness and training programs covering Code of Conduct, economic crime prevention, and applicable regulatory obligations.
- Lead Branch responses during regulatory examinations, audits, and inquiries.
- Act as Secretary of the Compliance Committee and participate in the Executive Committee, Credit Approval Committee, Internal Audit Committee, and Risk Management and Internal Control Committee.
- Maintain effective communication with Head Office (Beijing) Legal and Compliance functions, ensuring alignment with BoC Group standards.
Requirements
Education
- University degree in Law (Abogado/a habilitado/a en Chile).
- Postgraduate studies in Banking Law, Financial Regulation, or Compliance are desirable.
Experience
- Minimum 5 years of professional experience, with at least 2 years in compliance, legal, or regulatory roles within a banking or financial institution.
- Prior experience interacting with Chilean regulatory authorities (CMF, UAF) is required.
- Experience in an international banking environment or with cross-border regulatory frameworks is an advantage.
Technical Knowledge
- Solid knowledge of Chilean banking and financial regulation, including CMF RAN regulations, UAF AML/CFT framework, Law No. 20.393, Law No. 21.595, and the General Banking Law.
- Familiarity with corporate governance, internal controls, and risk management frameworks applicable to financial institutions.
Languages
- Advanced English (written and spoken) — required for Head Office interaction and regulatory correspondence.
- Native or fluent Spanish.
Skills
- High ethical standards and sound independent professional judgment.
- Strong analytical and legal interpretation skills, with the ability to assess regulatory risk and provide actionable guidance to Senior Management.
- Capacity to work autonomously under regulatory mandate and confidentiality obligations.
- Effective communication across all organizational levels, including governance bodies and external regulatory authorities.
