About the Role:

The Legal and Compliance Manager will provide comprehensive legal support with a commercial focus, ensuring compliance with regulations and promoting ethical practices within the organization. This role involves drafting and negotiating contracts, advising on compliance matters, and collaborating with various stakeholders to uphold the company’s legal standards.

Responsibilities:

Legal Support (Commercial Focus)

  • Provide legal advice to commercial, marketing, regulatory, market access, finance, HR, and Business Development teams.
  • Draft, review and negotiate commercial contracts, including: distribution and promotion agreements, marketing and communication services contracts, consultancy and speaker agreements, sponsorships, donations and grants-related documentation, general services and procurement agreements, intercompany agreements / transfer-pricing policy.
  • Provide legal support during in-licensing, out-licensing, strategic partnership transactions.
  • Manage legal aspects of interactions with healthcare professionals (HCPs), healthcare organisations (HCOs) and patient associations.
  • Assist in managing disputes (commercial issues, contractual claims) and coordinate with external Legal Counsel.
  • Monitor relevant legal developments in pharmaceutical regulation, commercial law, competition law and data protection, and communicate their impact to the business.

Compliance & Ethics:

  • Advise on advertising and promotion of medicinal products, medical devices and food supplements in line with Bulgarian and EU requirements and local industry codes.
  • Implement and maintain STADA Group compliance standards locally (Code of Conduct, Anti-Bribery & Corruption, Competition Law, 3rd Party Due Diligence, Marketing and Sales, etc.).
  • Promote a culture of integrity and ethical behaviour in daily operations.
  • Adapt and update local policies and procedures, ensuring alignment with Bulgarian law, STADA group policies and local pharma codes (e.g. BGPharma).
  • Review and approve promotional materials, events, sponsorships, donations, grants and consultancy arrangements from a compliance perspective.
  • Support transparency reporting and documentation of transfers of value.
  • Conduct and coordinate compliance trainings for employees and relevant third parties (e.g. promotion rules, interactions with HCPs, anti-bribery, competition law).
  • Participate in compliance investigations, fact-finding and follow-up on remedial actions under the guidance of senior legal/compliance or group functions.

Data Protection & Privacy (Operational Support):

  • Maintain compliance with GDPR and local data protection requirements in commercial, regulatory processes and HR.
  • Review data processing activities related to promotional campaigns, patient support programs, events and digital tools.
  • Draft and review data processing agreements and privacy notices in cooperation with the Group Data Protection Officer.
  • Help ensure that local procedures are aligned with group governance and compliance frameworks.

Stakeholder Collaboration:

  • Support preparation for internal audits and regulatory inspections from legal/compliance perspective.
  • Liaise with external law firms, local industry associations and authorities when required.

Qualifications:

  • Master’s Degree in Law
  • 3–5 years of professional experience in legal and compliance roles within the pharmaceutical or healthcare industry, or in a law firm advising pharma clients.
  • Practical experience with: commercial contracts and promotion of medicinal products, interactions with HCPs/HCOs and industry codes, competition law and data protection (GDPR).
  • Excellent written and spoken Bulgarian and English.

Required Skills:

  • Strong ethical standards and personal integrity.
  • Good legal analysis skills and ability to translate legal/compliance requirements into practical business processes and documents.
  • Good knowledge of local and EU regulations of the pharmaceutical sector.
  • Clear communication style and ability to explain complex topics to non-lawyers.
  • Organized, detail-oriented, with ability to manage several tasks and deadlines.
  • Proactive, willing to learn and comfortable working both independently and in cross-functional teams.
  • Business partner mindset.
