About the role
Provide legal advice and support to the Group, its subsidiaries and affiliates, working closely with the Board of Directors, Group CEO and senior management.
Key Responsibilities
- Review, draft and negotiate commercial agreements, including distribution, supply, customer, tender, vendor, licensing and service agreements, ensuring appropriate protection of the Group’s interests.
- Identify and manage legal and commercial risks and provide practical recommendations to support business objectives while ensuring compliance with applicable laws and regulations.
- Advise on corporate governance matters, including Board matters, corporate documentation, resolutions, statutory records and coordination with external company secretaries.
- Manage legal disputes, litigation, regulatory investigations and claims, including the engagement and management of external legal counsel where required.
- Advise on employment law, intellectual property, regulatory and other legal matters affecting the Group’s operations.
- Provide legal support for mergers and acquisitions, corporate restructuring and other strategic business transactions, including due diligence and transaction documentation.
- Develop and implement legal and compliance policies, conduct compliance reviews and risk assessments, and provide legal and compliance training to employees.
- Monitor relevant changes in laws and regulations and advise management on their potential impact on the business.
- Perform other legal and compliance duties as required by the business.
About You
- Degree in Law from a recognized university and admitted to the Malaysian Bar, Singapore Bar or another recognized common law jurisdiction.
- 5–8 years of relevant legal experience, preferably with in-house and/or private practice experience.
- Strong experience in commercial contract drafting, review and negotiation.
- Experience in corporate governance, legal risk management and regulatory compliance.
- Experience in healthcare, medical devices, life sciences, distribution or related industries is an advantage.
- Strong analytical, negotiation and communication skills.
- Commercially minded with sound judgement and the ability to provide practical, business-oriented legal advice.
- Ability to work independently, manage multiple priorities and engage confidently with senior management and stakeholders.
