The Role:
As Founding Legal Advisor, you’ll be the legal architect behind a dual-use startup operating at the bleeding edge of defense, finance, and regulatory innovation.
Your job: de-risk everything that touches government procurement, tokenized financing, and federal compliance—while laying the foundation for your future as our General Counsel.
If you excel in this role, you will be offered the General Counsel position post-Series A.
What You’ll Own:
1. Federal Procurement & Defense Compliance
Ensure platform design aligns with DFARS, FAR, SBIR, and subcontracting protocols
Create scalable legal onboarding processes for vendors (CAGE, SAM, 889 certs)
Advise on legal wrappers for teaming, NDAs, and contract modularity
2. Securities Law & Contract Financing
Analyze risk around fractionalized contracts and tradable receivables
Design legal structures (e.g. SPVs, Reg A, Reg CF) for prepayment models
Advise on how to tokenize value without triggering SEC enforcement
3. Startup Legal Infrastructure
Draft and review early-stage governance docs, advisor agreements, IP assignments
Support founder equity and option structuring as we prepare for fundraising
Oversee risk mitigation for early-stage partnerships and vendor deals
4. Legal → Product Integration
Partner with product to build compliance directly into UX and backend tooling
Translate legal frameworks into user-facing workflows
Develop the legal standard by which the next generation of defense vendors operate
You Are:
A licensed attorney (NY or equivalent) with experience in government contracts, securities law, or high-growth tech startups
Equally comfortable reviewing terms and defining strategy
Excited to join early, take equity, and build toward a C-suite legal role
Able to give crisp, decisive legal direction in high-pressure, zero-margin environments
Bonus: Familiar with defense tech, dual-use contracting, or fintech/tokenization
