Job Overview:

We are seeking a highly experienced, skilled, and organized Paralegal with over 20 years of experience to support the General Counsel in a fast-paced, dynamic legal environment. The ideal candidate will provide advanced administrative and substantive legal support in a wide range of corporate and legal matters, including corporate governance, contract review, compliance, litigation, and intellectual property matters. The Paralegal will assist in managing legal documentation, maintaining records, and ensuring the smooth operation of the legal department.

Key Responsibilities:

Legal Research & Documentation:
Conduct advanced legal research and gather relevant legal precedents, statutes, regulations, and case law for use by the General Counsel.
Prepare, draft, review, and revise legal documents such as contracts, non-disclosure agreements (NDAs), memorandum of understanding (MOUs), and other corporate documents with a high level of accuracy.
Draft, review, and edit complex legal correspondence and reports as requested by the General Counsel.
Contract Support:
Provide senior-level support in drafting, reviewing, and maintaining complex contracts, vendor agreements, employment agreements, and other legal documents.
Track and manage key contract milestones (e.g., renewal dates, termination dates) and assist with contract management and administration.
Corporate Governance:
Assist in the preparation and organization of corporate governance documents, including minutes of board meetings, shareholder meetings, and compliance reports.
Maintain corporate records, including filings with the Secretary of State, managing corporate entity databases, and ensuring compliance with federal, state, and local regulations.
Compliance & Risk Management:
Monitor changes in laws and regulations that may impact the company, and assist with the implementation of compliance updates.
Lead internal compliance investigations and due diligence processes, including data collection and preparation of findings.
General Administrative Support:
Manage and organize the General Counsel’s calendar, meetings, and travel arrangements.
Prepare and organize confidential legal documents, contracts, and files.
Serve as the primary point of contact for legal department communications, interacting with internal stakeholders and external parties, including attorneys, regulators, and clients.
Project Management:
Lead or assist in various legal projects, including mergers and acquisitions, corporate restructuring, intellectual property filings, and regulatory compliance initiatives.
Track project timelines, manage deadlines, and ensure the efficient and timely completion of projects.

Qualifications:

Education:
Bachelor’s degree (preferred).
Paralegal certification from an accredited program (preferred).
Experience:
Minimum of 20+ years of experience as a paralegal with substantial exposure to corporate law, contract law, or similar areas of law.
Extensive experience supporting senior legal executives, particularly a General Counsel or legal team in a corporate environment.
Proven track record of managing complex legal matters and working independently with minimal supervision.
Skills:
In-depth knowledge of corporate governance, legal compliance, and contract law.
Strong ability to draft, edit, and review complex legal documents.
Excellent writing, communication, and organizational skills.
High level of attention to detail and a proactive approach to problem-solving.
Ability to handle sensitive and confidential information with discretion.
Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook) and legal-specific software tools.
Abilities:
Ability to manage multiple responsibilities simultaneously and prioritize tasks effectively.
Exceptional interpersonal skills with the ability to work collaboratively across departments.
Comfortable working in a fast-paced, deadline-driven environment.

Working Conditions:

Location: Kennesaw, Georgia [can be hybrid/remote]
Hours: 30+ (4 days a week minimum)
Travel: Occasional travel may be required for meetings or other related activities.
