This role reports to the VP of Finance & Legal and is critical for ensuring MEMS’ legal and compliance frameworks are robust and scalable. You will serve as a trusted advisor, engaging closely with executive leadership and the Board while overseeing corporate governance matters, compliance, and legal operations. Your experience in corporate governance and contract risk management will be essential to this dynamic position.
Key Responsibilities:
• Administer and lead governance processes and Board meetings
• Oversee ESOP management and compliance requirements
• Implement and maintain contract governance frameworks
• Advise on legal risks and contract obligations
• Coordinate external legal counsel for complex matters
Requirements:
• 12-15+ years in corporate governance and compliance
• Formal paralegal credential or relevant education
• Experience supporting Boards and Committees
• Strong communication skills for executive interactions
• Familiarity with corporate registries and compliance systems
