Responsibilities:
- Lead and manage legal actions against customers, including: Demand letters, Negotiation and settlement and Court proceedings and enforcement
- Represent the company or coordinate with external counsel in civil litigation.
- Advise Credit Control and Finance on legal recovery strategies.
- Review, draft, standardize, and negotiate all business contracts, including but not limited to: Sales contracts, Credit agreements, Distributor, agent, and customer agreements and Service and procurement contracts
- Ensure all contracts: Adequately protect the company’s legal and commercial interests, are enforceable under Indonesian law and are aligned with Group contractual standards
- Advise business teams on contractual risks, liabilities, and mitigation strategies.
- Governance
- Support Head Office on cross-border legal matters involving Indonesia.
- Review and prepare GMS (General Meeting of Shareholders) resolutions, Board of Commissioners (BOC) and Board of Directors (BOD) resolutions, minutes, and governance documentation.
- Manage and oversee all legal registrations and statutory filings, including but not limited to: Company establishment and amendments (articles of association), Business licenses and Shareholder, director, and commissioner changes
- Liaise with notaries, regulators, and authorities to ensure legal accuracy and timeliness.
- Support implementation and monitoring of legal and compliance policies, including anti-bribery, anti-corruption, and ethical business conduct.
- Advise management on regulatory compliance risks and remediation measures.
- Support internal investigations and compliance reviews where required.
Qualifications:
- Bachelor of Law (S.H.), licensed to practice law in Indonesia
- Licensed Indonesian advocate (PERADI or other recognized bar association)
- 8–12 years experience in corporate and litigation law
- Eligible and experienced in representing companies in civil litigation, including use of Indonesia’s e-Court (electronic court) system
- Strong experience in corporate governance, including GMS, BOC, and BOD matters
- In-house legal experience in manufacturing or trading companies preferred
- Strong understanding of Indonesian: Civil law, Commercial law and Company law and regulatory framework
- Strong English proficiency (written and spoken)
- Assertive, resilient, and detail-oriented
- Strong negotiation capability with solid courtroom exposure
- Able to work independently with high accountability
- Strong sense of ownership over legal risk and compliance outcomes
- Balances legal rigor with commercial pragmatism
