Position: Law Clerk (Real Estate Group – Funds)

Our Client Is one of the largest investors in real estate

Role Overview Reporting to the U.S. Real Estate Group (Funds) team. Our Client seeks a Law Clerk to assist the Real Estate Group (funds team)

Key Responsibilities

Manage the corporate entity database, including initial entries and the bi-annual ownership attestation process, and assist in all other entity maintenance protocols Manage the legal document system and maintain the organization of all legal documents Assist with U.S. and other jurisdictional entity formations and state qualifications, if required, and the dissolution of entities Apply for Employee Identification Numbers for domestic and foreign entities and Global Intermediary Identification Numbers, if required Prepare tax forms (W-8s/W-9s)

Assist with bank account openings and onboarding entities with the fund administrator and other service providers Advise registered agent of any entity formations, name changes, conversions and dissolutions

Draft initial operating agreements, resolutions and internal loan documents Respond to internal and external requests for information for KYC and other purposes

Assist in preparing and maintaining structure charts Maintain D&O registers Assist in annual processes, ad hoc projects and corporate governance matters generally

Qualifications

Law Clerk Diploma Minimum of 2-4 years of post-qualification experience
