Position Overview

We are seeking a mid- to senior-level Corporate Associate with significant experience in mergers and acquisitions, private equity, corporate finance, and other sophisticated transactional matters.

The ideal candidate will have at least four years of relevant law firm experience and be comfortable taking meaningful ownership of complex transactions. This includes managing due diligence, drafting and negotiating transaction documents, coordinating with clients and third-party advisors, and helping transactions progress efficiently from initial structuring through closing.

Candidates should have experience across a range of corporate transactions, including acquisitions, divestitures, mergers, private equity investments, equity structuring, debt financings, joint ventures, strategic investments, and other complex corporate matters.

This position offers the opportunity to work closely with experienced attorneys on sophisticated transactions while developing deeper client-management and leadership responsibilities.

Key Responsibilities

  • Manage multiple sophisticated corporate transactions simultaneously, balancing strategic considerations with day-to-day execution from inception through closing.
  • Lead and coordinate due diligence processes, including managing junior team members and reviewing diligence findings.
  • Draft, review, and negotiate transaction documents, including purchase and merger agreements, governance documents, financing agreements, corporate organizational documents, and related ancillary agreements.
  • Advise clients on transaction structures and coordinate with financial advisors, accountants, lenders, consultants, and other third-party service providers.
  • Support private equity sponsors and portfolio companies throughout the investment lifecycle, including acquisitions, add-ons, financings, governance matters, and exits.
  • Counsel companies on matters ranging from entity formation and corporate structuring to ongoing governance and operational requirements.
  • Work effectively with multiple partners and client teams while helping supervise, mentor, and train junior associates and support staff.
  • Use current legal technology and transactional tools effectively to manage matters, collaborate with teams, and communicate with clients.
  • Deliver high-quality work while maintaining strong attention to detail and meeting applicable deadlines and billable-hour expectations.
  • Develop and maintain strong client relationships and contribute to business-development initiatives.
  • Maintain the highest standards of professional responsibility and legal ethics.

Qualifications

Required

  • Juris Doctor (JD) from an accredited law school.
  • 4+ years of relevant transactional experience at a law firm.
  • Significant experience with M&A, private equity, corporate finance, and sophisticated corporate transactions.
  • Experience managing transactions and due diligence processes.
  • Strong drafting and negotiation experience involving corporate and transactional documents.
  • Experience with both buy-side and sell-side transactions.
  • Ability to independently manage significant components of transactions while working collaboratively with partners, clients, and other advisors.
  • Strong analytical, organizational, communication, and interpersonal skills.Preferred Experience

Licensure

Must be licensed and in good standing in the applicable jurisdiction and maintain all required licensing and continuing legal education requirements.

Licensed to practice law in Missouri (or willing to obtain)

Supervisory Responsibilities

This position may provide indirect supervision and training to junior associates and support staff as part of transaction teams.

Work Requirements

The position requires prolonged periods of computer-based work, with the ability to work from either a seated or standing workstation. Travel is expected to be less than 10%.

Pay: $205,000.00 – $285,000.00 per year
