A top-tier AM 100 law firm is seeking a highly skilled M&A & Private Equity Associate to join its San Francisco, CA office. This role offers the opportunity to work on high-value mergers, acquisitions, divestitures, private equity transactions, and corporate governance matters for financial sponsors, private equity firms, and public and private companies.
This is an excellent opportunity for attorneys with AM 100 law firm experience, strong transactional skills, and a deep understanding of private equity investments, leveraged buyouts, and strategic M&A transactions.
Ideal Candidate Profile
• Juris Doctor (JD) Degree from a T-14 law school (Required).
• Graduation Year Requirement: JD earned
Mid-Level to Senior Associates Encouraged).
• 3-6+ years of experience handling M&A, private equity, and corporate governance matters.
• Prior Experience at an AM 100 or AM 200 Law Firm (Required).
• Experience in:
– Structuring, negotiating, and executing mergers, acquisitions, divestitures, and joint ventures.
– Representing private equity sponsors, portfolio companies, and financial institutions in investment transactions.
– Drafting and negotiating stock and asset purchase agreements, shareholder agreements, and investment agreements.
– Advising on due diligence, transaction structuring, and regulatory approvals.
• Strong knowledge of SEC reporting requirements, corporate governance, and fund structuring.
• Exceptional Legal Writing & Research Skills with strategic
problem-solving
abilities.
• Bar Admission in California or eligibility to waive in.
• Consistent Employment History with no unexplained gaps or frequent job-hopping.

: $260,000 $ 450,000
