A top-tier AM 100 law firm is seeking a highly skilled Corporate Finance Associate to join its Houston, TX office. This role offers the opportunity to work on complex debt financing transactions, private equity financings, syndicated loans, structured finance, and regulatory compliance matters for leading financial institutions, private equity sponsors, and corporate borrowers.
This is an excellent opportunity for attorneys with AM 100 law firm experience, strong transactional skills, and a deep understanding of financing structures, debt capital markets, and regulatory frameworks.
Ideal Candidate Profile
Juris Doctor (JD) Degree from a T-14 law school (Required).
Graduation Year Requirement: JD earned (Mid-Level to Senior Associates Encouraged).
2-6+ years of experience handling corporate finance, leveraged finance, private equity financing, or structured finance transactions.
Prior Experience at an AM 100 or AM 200 Law Firm (Required).
Experience in:
Syndicated lending, asset-based lending, and acquisition financings.
Representing private equity sponsors, borrowers, and lenders in complex financing transactions.
High-yield debt offerings, mezzanine financing, and restructuring finance.
Negotiating credit agreements, intercreditor agreements, and security arrangements.
Strong knowledge of UCC Articles 8 and 9, bankruptcy considerations, and debt restructuring.
Exceptional Legal Writing & Research Skills with strategic problem-solving abilities.
Bar Admission in Texas or eligibility to waive in.
Consistent Employment History with no unexplained gaps or frequent job-hopping.
Compensation & Benefits
Salary Range: $250,000 $ 450,000
