Our ideal new team member:
A seasoned attorney with many years of experience representing startups and other companies in general corporate matters, venture capital transactions, and mergers and acquisitions (M&A), while exhibiting our values (outlined below), and has at least a few current clients that are within our emerging technology company niche.
Duties and Responsibilities of our new team member:
Counsel emerging startups on a variety of early stage issues, including founder control and equity allocation, funding strategies, stock options, and employment and consulting matters
Prepare and negotiate Series AA through Series G investment-related agreements and documents, including working with NVCA, Series Seed, and SAFE document sets
Maintain detailed knowledge of Regulation D and market terms in angel and venture capital transactions
Advise companies regarding corporate governance and fiduciary duty-related matters
Prepare stockholder agreements, employment and consulting agreements, and equity grant agreements
Prepare, negotiate, and edit asset purchase, stock purchase, and ancillary agreements in connection with the sale of a company, including maintaining a working knowledge of market terms in small and middle market M&A
Prepare, review, and edit company sale waterfall spreadsheets
Maintain working knowledge of tax, intellectual property, employment, privacy, and related matters that arise in venture capital and M&A transactions
Lead and train team members working with emerging technology-based companies

Qualifications for our new team member:
JD plus admission and good standing in a state bar
At least 10 years of full-time experience as a practicing attorney in Delaware corporate law, M&A, and corporate transactions, with at least 5 of those years in venture capital transactions
Excellent drafting and negotiation skills
Strong business acumen
Prior experience leading and scaling teams

This position is a full-time position in our Madison, Wisconsin office. While we are open to remote team members in unique situations, our preference is to work with you in-person.
