We are currently supporting a prominent renewable-energy and infrastructure group in expanding their in-house legal function. This role is a key addition to the legal team, providing transactional support across a diverse portfolio of project SPVs throughout the development, construction, energy trading, and finance lifecycle.
Job description
- Support M&A transactions, including project sales, acquisitions, share purchases, and asset deals by coordinating internal and external stakeholders.
- Manage virtual data rooms and perform comprehensive due diligence to identify and mitigate project risks.
- Draft and review transaction documentation such as SPAs and SHAs, ensuring alignment of commercial and legal terms.
- Provide support for financing agreements, credit facilities, security documentation, and associated corporate KYC matters.
- Coordinate FDI and necessary regulatory approvals, tracking filings and compliance conditions throughout the transaction process.
- Manage closing and post-closing workstreams, ensuring all obligations are met and documentation is finalized.
- Assist with corporate governance, including registry filings, board materials, and the approval of financial statements.
- Facilitate intercompany arrangements and maintain clear communication with the broader group legal structure.
Requirements
- A law degree and active professional qualification.
- At least 1 year of post-qualification experience, ideally gained within a reputable law firm in a corporate, M&A, or banking & finance practice.
- Strong grounding in company law and proficiency in transactional drafting.
- Excellent organizational skills with a high level of attention to detail, particularly regarding document packages and checklists.
- Fluency in Hungarian and professional proficiency in English.
- A proactive, commercially-minded approach with the ability to manage multiple workstreams toward deadlines.
- Prior experience in energy, infrastructure, or real estate transactions is considered an advantage.
