Position Overview:

We are seeking a proactive and motivated Junior In-House Counsel to provide legal guidance on all aspects of real estate transactions and development. This role involves advising on acquisitions, dispositions, leasing, financing, development, property management, regulatory compliance, and risk management. In-depth knowledge of construction is a bonus.

Key Responsibilities:

Acquisitions & Dispositions

  • Advise on legal matters related to property acquisitions, sales, and due diligence.
  • Draft, review, and negotiate purchase and sale agreements, easements, and land use restrictions.
  • Support zoning, permitting, and entitlement processes for real estate projects.

Financing & Joint Ventures

  • Manage and negotiate real estate financing transactions, including drafting, reviewing, and negotiating loan agreements, security documents, mortgage and pledge agreements, and related investor contracts.
  • Assist in drafting and negotiating joint venture agreements, partnership agreements, and public-private partnership arrangements to facilitate development, acquisition, or management of real estate projects.
  • Provide legal guidance on financing covenants, compliance obligations, and risk mitigation strategies.
  • Coordinate with external counsel, lenders, investors, and internal teams to ensure timely execution of financing and partnership arrangements.
  • Review and advise on corporate governance, ownership structures, and exit strategies related to joint ventures and investment transactions.
  • Support due diligence processes for acquisitions, refinancing, or investment opportunities, including review of title, contracts, permits, and regulatory compliance.

Leasing & Property Management

  • Draft, review, and negotiate commercial and residential leases, license agreements, and management contracts.
  • Advise on landlord-tenant matters, rent collections, and operational issues.
  • Ensure compliance with housing, safety, and environmental regulations.

Construction Contracts & Risk Management

  • Draft, review, and negotiate construction contracts, including AIA agreements, EPC contracts, and subcontractor agreements.
  • Provide legal guidance on procurement strategies, bidding processes, and contractor negotiations.
  • Advise on insurance, bonding, and indemnification provisions to mitigate project risks.
  • Ensure compliance with local, state, and federal regulations governing construction projects.
  • Manage disputes related to construction defects, contract breaches, and project delays.
  • Represent the Company mediation, arbitration, and litigation when necessary.
  • Collaborate with outside counsel on complex legal matters.

General Advisory

  • Provide ongoing legal advice to business teams across all real estate transactions.
  • Monitor and advise on local, state, and federal real estate laws and regulations.
  • Ensure compliance with environmental, safety, ADA, and other applicable laws.
  • Provide guidance on risk management, insurance, and indemnification strategies.
  • Assist with corporate governance and internal compliance initiatives.
  • Maintain organized records of contracts and legal documents.

Qualifications & Experience:

  • Juris Doctor (JD) degree from an accredited law school.
  • Active bar membership in good standing (state-specific requirement).
  • 5+ years of relevant experience.
  • Experience representing developers, contractors, or investors in large-scale projects.
  • Strong negotiation, analytical, and problem-solving skills.
  • Excellent written and verbal communication skills.
  • Must be able to work well both independently and collaboratively with others in a fast-paced team environment.
