Watts & Associates is working discreetly with a highly regarded Am Law 200 ranked international law firm seeking a Senior Investment Funds Associate or Counsel to join its New York, NY office.
This is a transactional role for an experienced funds lawyer who enjoys sponsor side fund formation as well as sophisticated investor side work, including advising institutional and sovereign investors on commitments to private investment vehicles.
The platform offers a collaborative, partner led environment with a steady flow of complex alternative investment matters across multiple strategies. The team values strong judgment, clear drafting, and practical, commercially focused advice.
The Opportunity
You will advise sponsors on the structuring, formation, and operation of private funds, and support fundraising and investor negotiations. The work also includes representing limited partners on primary investments in private equity and other private investment funds, with exposure to governance, side letters, and regulatory considerations, including 1940 Act related issues.
Ideal Candidate Profile
The firm is seeking a Senior Investment Funds Associate or Counsel with:
- More than 6 years of investment funds experience, including substantial fund formation work
- Experience advising sponsors and investors across alternative investments, such as private equity, credit, energy, infrastructure, real estate, hedge funds, and bespoke structures
- Strong capability across structuring, fundraising, investor negotiations, governance, and ongoing operational matters
- General experience with 1940 Act matters, with 1940 Act fund experience a plus
- Admission to the New York Bar
