Role Overview
As Internal Legal Counsel, you will play a vital role in shaping the legal backbone of Lif3away. Reporting directly to the CEO and working closely with the COO and executive team, you will provide comprehensive legal guidance across all operations of the business from contracts to compliance, cap table to corporate governance. You’ll be responsible for enforcing company legal standards and building frameworks that will scale with the company’s rapid expansion, both domestically and internationally.
This is an equity-only position during the pre-funding phase.
You will be required to acknowledge this as part of the hiring process. You must be available to work actively with our team each day and attend meetings during the pre-funding stage.
Upon successful fundraising, you are expected to join as a full-time in-house counsel based in San Francisco.
Key Responsibilities
Serve as the primary in-house legal advisor across all departments.
Draft, negotiate, and review a wide range of legal documents: commercial contracts, SaaS agreements, NDAs, partnership terms, offer letters, and equity agreements.
Support cap table management, share issuance, and corporate governance with strategic and legal oversight.
Ensure compliance with federal, state, and international laws relevant to real estate, data privacy, labor law, and SaaS regulations.
Assist in due diligence, contracts, and investor documentation during fundraising rounds.
Advise on legal risk mitigation across product, brand, operations, and partnerships.
Lead or contribute to our IP strategy (e.g., trademark filings, IP ownership, licensing).
Review and refine internal policies and workflows for legal compliance.
Coordinate with external counsel when necessary.
Supervise and mentor our Executive Legal Assistant in legal operations and documentation control.
Qualifications
Licensed to practice in California.
5+ years of legal experience, with at least 1–2 years in-house; startup or venture-backed company experience preferred.
Solid foundation in corporate law, SaaS and commercial contracts, employment law, and early-stage venture financing.
Experience reviewing fundraising-related legal materials (SAFE/KISS, loans, convertible notes, equity structures, investor rights).
Excellent communicator, capable of turning complex legal concepts into actionable guidance.
Detail-oriented, self-directed, and comfortable working across departments.
Fully aligned with our mission, team culture, and equity-based early-stage model.
Nice to Have
Background in real estate law or familiarity with rental industry regulations.
Experience handling international compliance or cross-border legal frameworks.
Familiarity with C-Corp structures, board resolutions, option pools, and employee equity programs.
Experience in high-growth SaaS or PropTech startups.
Strong leadership capability and desire to scale legal ops as the company grows.
