Major, Lindsey & Africa’s Interim Legal Talent group is seeking an Interim Corporate Paralegal.

Overview: Our client is seeking an enthusiastic, and proactive interim corporate paralegal to support the legal department’s corporate governance, entity management and SEC reporting and filing functions.

Company: Public energy and technology company.

Experience: 5+ years of prior public company corporate paralegal experience in an in-house setting.

Location: Remote. Open to candidates in the eastern and central US and candidates in other regions willing to work in an east coast schedule.

Responsibilities Include:

Assist with non-board facing corporate governance matters, including preparing board and committee meeting materials, maintaining corporate records, and ensuring compliance with corporate policies and procedures.

Manage SEC reporting and filing requirements.

Oversee entity management, including forming and dissolving entities, maintaining entity records, and ensuring compliance with state and federal regulations.

Provide basic contracting support, such as preparing NDA templates.

Administrative duties, including preparing documents for digital signature, preparing and distributing Director and Officer questionnaires, emailing passport documentation, notarizations, and apostilles.

Receive inbound requests from internal company stakeholders.

Other legal duties as assigned.

Qualifications Include:

Minimum of 5 years of in-house experience in a public company legal department.

Strong knowledge of corporate governance, SEC reporting and filing, and entity management.

Ability to work independently and manage multiple priorities in a fast-paced environment.

Registered notary is strongly preferred.

Some familiarity with the process of preparing a document for an apostille certificate is a plus.

Familiarity with legal entity management software is a plus.

Familiarity with contract lifecycle management (CLM) tools is a plus.

Bachelor’s degree.

Pay: $60 to $70 per hour, depending on relevant experience, background, and qualifications.
